All items listed in this Purchase Order shall be delivered to the Osaka Digital Media Solutions K.K. facility at 3-14-2 Umeda, Kita-ku, Japan Osaka 530-0001. The vendor is responsible for arranging international shipping from the United States to Japan Osaka, including all customs clearance documentation, import permits, and compliance with Japanese regulatory authorities. The Editor hardware and software must arrive in Japan Osaka no later than July 18, 2025, to allow sufficient time for installation, network configuration, and operator training before the final delivery deadline of July 25, 2025. All equipment must be packaged to withstand international transit and must include Japanese-language user manuals, quick-start guides, and safety documentation in compliance with Japanese consumer protection regulations.
4.1 Payment: Payment of the full Purchase Order amount of USD $164,862.00 shall be made within forty-five (45) calendar days of the date of invoice, provided that all items have been delivered, installed, and accepted at the Japan Osaka facility. Payment shall be made via international wire transfer to the vendor's designated bank account.
4.2 Acceptance: The Editor system and all associated equipment shall be subject to a fourteen (14) day acceptance period following installation at the Japan Osaka site. During this period, Osaka Digital Media Solutions K.K. reserves the right to test all Editor functions, verify software licensing, and confirm hardware performance against the specifications outlined in this Purchase Order.
4.3 Warranty: The vendor warrants that all Editor hardware components are free from defects in materials and workmanship for a period of three (3) years from the date of acceptance in Japan Osaka. Software licenses are warranted to be genuine, properly activated, and fully functional with Japanese language support.
4.4 Compliance: All products must comply with Japanese Electrical Appliance and Material Safety Law (DENAN), JIS standards, and applicable data protection regulations in Japan. The Editor software must support Japanese character encoding (Shift-JIS, EUC-JP, UTF-8) and provide a fully localized Japanese user interface.
4.5 Late Delivery: In the event of delayed delivery to Japan Osaka beyond the specified deadline, the vendor shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total value.
4.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in Japan Osaka under the rules of the Japan Commercial Arbitration Association.
This Purchase Order is hereby authorized and approved for execution. By signing below, both parties acknowledge the terms, conditions, and specifications set forth in this document regarding the procurement and deployment of the Editor system in Japan Osaka.
