- Advance Payment (40%): KES 9,341,200 due within 7 business days of acceptance of this Purchase Order, payable via bank transfer to the supplier's designated account. This amount covers the Editor software licences and module add-ons.
- Delivery Payment (40%): KES 9,341,200 due upon successful installation and verification of the Editor platform at the Kenya Nairobi premises, confirmed by a signed Installation Completion Certificate.
- Final Payment (20%): KES 4,670,600 due 30 days after the Go-live date, contingent upon satisfactory completion of the hypercare support period and resolution of all outstanding Editor platform issues.
- All payments shall be made in Kenyan Shillings (KES) to the following account: Editor Solutions International Inc., Equity Bank Kenya, Account No. 0123456789, Branch: Westlands, Kenya Nairobi.
- Late payments shall attract interest at the rate of 2% per month, in accordance with the Kenya Interest Rate Act.
- This Purchase Order is governed by the laws of the Republic of Kenya and shall be interpreted in accordance with the Kenya Contract Act, Cap 23, and the Kenya Competition Act, 2010.
- The supplier warrants that the Editor software suite is free from material defects, viruses, and intellectual property encumbrances for a period of 24 months from the Go-live date in Kenya Nairobi.
- All data processed, stored, or transmitted through the Editor platform while operating in Kenya Nairobi shall be subject to the Kenya Data Protection Act, 2019. The supplier shall execute a Data Processing Agreement (DPA) prior to installation.
- The supplier shall provide a minimum of 99.5% uptime for the Editor Cloud Sync service. Failure to meet this threshold shall entitle the buyer to service credits as outlined in the Service Level Agreement (SLA) annexed to this Purchase Order.
- Intellectual property rights in the Editor software remain with Editor Solutions International Inc. The buyer is granted a non-exclusive, non-transferable licence to use the Editor platform within its Kenya Nairobi operations for the duration of the licence term.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995 (Cap 49).
- This Purchase Order becomes binding upon written acceptance by both parties. No modifications shall be valid unless made in writing and signed by authorised representatives of both Nairobi Digital Media Group Ltd. and Editor Solutions International Inc.
- The supplier shall comply with all applicable Kenyan tax obligations, including the remittance of 5% withholding tax on payments to non-resident suppliers, as required by the Kenya Income Tax Act.
