This Purchase Order is issued by Al-Nakheel Media Production Group, headquartered in Kuwait, Kuwait City, for the procurement of a professional Editor software suite, associated hardware peripherals, and comprehensive editorial training services. The Editor platform shall be deployed across our primary production facility located at Al-Salem Tower, Kuwait City, Kuwait, and will serve as the central tool for all video post-production, content editing, and broadcast-ready output workflows. The Editor must be fully compatible with our existing infrastructure and must meet the regulatory standards set forth by the Kuwait Authority for Public Information (KAPI) for all media content produced within Kuwait, Kuwait City.

- Delivery: All hardware items listed in this Purchase Order shall be delivered to our facility at Al-Salem Tower, Al-Salem Street, Kuwait City, Kuwait, no later than 05 July 2025. The Editor software licenses shall be activated and made available on our local servers within Kuwait, Kuwait City, by the same date.
- Payment Terms: Payment shall be made in two installments: 50% (KWD 21,016.25) upon acceptance of this Purchase Order, and the remaining 50% (KWD 21,016.25) within 30 days of successful delivery, installation, and completion of the Editor training program in Kuwait City, Kuwait.
- Warranty: The Editor software and all associated hardware carry a minimum 3-year warranty. Any defects in the Editor platform or hardware discovered within the warranty period shall be repaired or replaced at no additional cost to Al-Nakheel Media Production Group.
- Compliance: The Editor software and all deliverables must comply with the data protection and media content regulations of the State of Kuwait. All data processed through the Editor shall be stored on servers physically located within Kuwait, Kuwait City, in accordance with local data sovereignty requirements.
- Acceptance: Al-Nakheel Media Production Group reserves the right to inspect and test the Editor software and hardware upon delivery. Acceptance shall be confirmed in writing within 10 business days of delivery. Failure to confirm acceptance within this period shall constitute deemed acceptance.
- Intellectual Property: Upon full payment, all Editor licenses, documentation, and training materials become the sole property of Al-Nakheel Media Production Group. The vendor retains no rights to the Editor configurations, project files, or workflows developed at our Kuwait City, Kuwait facility.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions in Kuwait, or international trade restrictions affecting delivery to Kuwait City, Kuwait.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kuwait City, Kuwait, in accordance with the Kuwait Commercial Arbitration Law.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the Editor software configurations, and all proprietary information exchanged during the procurement and deployment process in Kuwait, Kuwait City.
