The scope of this order encompasses the engagement of a senior content Editor, the licensing of industry-standard editorial software, and the supply of hardware peripherals required to establish a fully functional editorial workstation within our Kuala Lumpur premises.

1. This Purchase Order constitutes a binding agreement between Meridian Digital Solutions Sdn. Bhd. (hereinafter "the Buyer") and Apex Editorial & Creative Services Sdn. Bhd. (hereinafter "the Supplier") upon written acceptance by both parties.
2. The Supplier shall assign a qualified Editor who meets the minimum qualifications specified in Item 1. The Buyer reserves the right to request a replacement Editor within the first thirty (30) days if performance does not meet the agreed-upon standards.
3. All hardware and software deliveries shall be made to the Buyer's registered office in Malaysia Kuala Lumpur at the address stated above. Delivery is expected no later than 28 June 2025. The Editor's onboarding date is set for 1 July 2025.
4. Payment terms: 30% advance payment upon acceptance of this Purchase Order; 40% upon successful delivery and installation of all hardware and software; 30% upon completion of the 12-month Editor engagement and final acceptance. All payments shall be made via bank transfer to the account specified above.
5. The Supplier warrants that all software licenses are genuine, properly authorized, and free from any intellectual property encumbrance. The Editor's services are provided under a service agreement that includes confidentiality and non-disclosure obligations binding on both parties.
6. Any changes to the scope, quantity, or specifications outlined in this Purchase Order must be made in writing and signed by both parties. Verbal modifications shall not be enforceable.
7. The Supplier shall comply with all applicable laws of Malaysia, including the Personal Data Protection Act 2010 (PDPA), the Employment Act 1955, and the Consumer Protection Act 1999, in the course of fulfilling this order in Malaysia Kuala Lumpur.
8. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to mediation under the rules of the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, Malaysia.
9. This Purchase Order is governed by and shall be construed in accordance with the laws of Malaysia. The courts of Kuala Lumpur shall have exclusive jurisdiction over any legal proceedings arising hereunder.
10. The Supplier shall provide a comprehensive warranty of twelve (12) months on all hardware items and a full refund guarantee on software licenses if the Editor's engagement is terminated before the first month concludes for reasons attributable to the Supplier.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Supplier confirms its capacity to deliver the Editor services, software, and hardware as described, and the Buyer confirms its commitment to the payment schedule outlined herein.
