All editorial decisions, content reviews, and quality-control processes shall be executed in accordance with the editorial guidelines established by Amsterdam Media Group B.V. and in compliance with the Dutch Media Act (Wet op de pers) and applicable European Union regulations regarding content integrity and data protection.

3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. All services described herein shall be rendered by the appointed Editor in Netherlands Amsterdam in accordance with the specifications outlined in Section 2.
3.2 The Editor shall maintain full confidentiality regarding all proprietary content, unpublished manuscripts, and internal business strategies of Amsterdam Media Group B.V. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of editorial duties in Netherlands Amsterdam.
3.3 Payment shall be made in monthly installments of EUR 12,795.75 (inclusive of VAT) via bank transfer to the Seller's designated account. Invoices shall be submitted on the last business day of each month. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Dutch civil law (Burgerlijk Wetboek, Book 6).
3.4 The Editor shall be entitled to a minimum of twenty-five (25) working days of paid annual leave in accordance with the Dutch Working Hours Act (Wet regeling arbeidsomstandigheden). Public holidays observed in the Netherlands, including King's Day (Koningsdag) and the Amsterdam Canal Day, shall be observed as non-working days.
3.5 Either party may terminate this Purchase Order with a written notice period of sixty (60) calendar days. In the event of termination, the Editor shall complete all in-progress editorial tasks and deliver a comprehensive handover report to the Buyer's management team in Netherlands Amsterdam.
3.6 All intellectual property rights in content edited, reviewed, or produced by the Editor under this Purchase Order shall vest exclusively in Amsterdam Media Group B.V. The Editor shall not reproduce, distribute, or publish any such content without prior written consent.
3.7 This Purchase Order shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands Amsterdam.
4. DELIVERY AND COMMENCEMENTThe Editor shall commence duties on 1 July 2025 at the Buyer's office in Netherlands Amsterdam. The Seller shall ensure that the Editor is fully onboarded, provided with access to all editorial systems, and briefed on the Buyer's content strategy within the first five (5) working days. All deliverables associated with this Purchase Order shall be submitted via the Buyer's internal content management platform unless otherwise agreed in writing.
