• The Editor User Training workshop shall be conducted at the buyer's premises in New Zealand Auckland on 15–16 July 2025, between 09:00 and 17:00 NZST.
• All delivery and installation activities are subject to the working hours and public holiday calendar of New Zealand, including the Auckland regional public holiday schedule.
• The supplier shall ensure the Editor is fully compatible with the operating systems and hardware specifications currently in use at the New Zealand Auckland facility.

• Payment shall be made in New Zealand Dollars (NZD) via bank transfer to the supplier's nominated account.

• Late payments shall attract interest at the rate of 1.5% per month, in accordance with New Zealand commercial practice.

• This Purchase Order is governed by the laws of New Zealand. Any disputes arising from this Purchase Order regarding the Editor software shall be resolved in the courts of Auckland, New Zealand.
• The Editor software is licensed exclusively for use by authorised personnel of Harbour Digital Solutions Ltd. within the New Zealand Auckland office. Redistribution, sublicensing, or use outside the specified location is strictly prohibited.
• The supplier warrants that the Editor software is free from material defects, viruses, and malicious code at the time of delivery.
• The supplier shall provide a minimum of 12 months of technical support for the Editor, including remote and on-site support in Auckland, New Zealand, during standard business hours (08:00–17:00 NZST, Monday to Friday).
• All data processed through the Editor on the New Zealand Auckland premises shall remain subject to the New Zealand Privacy Act 2020 and the Privacy Act 2020 (New Zealand) data protection obligations.
