- This Purchase Order is issued by Harbour Media Productions Ltd., a registered company in New Zealand, for the procurement of the Editor software suite and associated hardware to be installed and operated at its primary production facility in Wellington, New Zealand.
- The vendor shall deliver all items listed in this Purchase Order to the specified address in Wellington, New Zealand, no later than 15 July 2025. Delivery shall be made under DDP (Delivered Duty Paid) terms, meaning the vendor assumes all shipping costs, insurance, and import duties applicable to New Zealand customs clearance.
- All Editor software licenses are perpetual and non-transferable. The Editor platform is licensed exclusively for use within the New Zealand Wellington production premises. Any redistribution, sublicensing, or use outside the designated facility is strictly prohibited under the End User License Agreement.
- Payment terms: 30% deposit (NZD 38,137.50) due upon acceptance of this Purchase Order; 70% balance (NZD 88,987.50) due within 30 days of confirmed delivery and successful installation of the Editor workstations in Wellington, New Zealand.
- The vendor warrants that all Editor software and hardware delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of installation in New Zealand Wellington.
- Any disputes arising from this Purchase Order shall be governed by the laws of New Zealand. The parties agree to attempt mediation in Wellington, New Zealand, before pursuing any formal legal proceedings.
