All hardware components of the Editor system shall be delivered to the Abuja Digital Publishing House Ltd. premises at Plot 12, Garki Road, Wuse II, Nigeria Abuja, Federal Capital Territory, within forty-five (45) calendar days from the date of this Purchase Order. Software licenses and digital access keys for the Editor platform shall be transmitted electronically no later than thirty (30) days from the date of this Purchase Order. The supplier shall coordinate with Nigerian Customs Service and the National Information Technology Development Agency (NITDA) to ensure full compliance with all import regulations and data sovereignty requirements applicable to Nigeria Abuja.
4. Payment TermsPayment for this Purchase Order shall be made in the following installments via wire transfer to the supplier's designated bank account:

- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All terms herein shall be governed by the laws of the Federal Republic of Nigeria, with particular reference to the Federal Capital Territory regulations applicable to Nigeria Abuja.
- The Editor software and all associated intellectual property shall remain the property of the Supplier. The Buyer is granted a non-transferable, non-exclusive license to use the Editor platform exclusively within the premises and operational scope of Abuja Digital Publishing House Ltd. in Nigeria Abuja.
- The Supplier warrants that the Editor system shall be free from defects in design, materials, and workmanship for a period of twelve (12) months from the date of successful deployment in Nigeria Abuja.
- All data processed, stored, or generated by the Editor platform while operating in Nigeria Abuja shall be subject to the Nigeria Data Protection Act (NDPA) 2023 and the Cybercrimes (Prohibition, Prevention, etc.) Act 2015. The Supplier shall ensure full compliance with these regulations.
- Any delay in delivery of the Editor system beyond the stipulated timeframe shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10% of the total value.
- The Buyer reserves the right to inspect and test the Editor system upon arrival in Nigeria Abuja before final acceptance. A 14-day inspection period shall apply from the date of physical delivery.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Abuja, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004).
- This Purchase Order may not be amended, modified, or supplemented except by written agreement signed by authorized representatives of both parties.
- The Supplier shall provide all necessary documentation, including certificates of origin, software license certificates, and technical manuals, in English to facilitate regulatory compliance in Nigeria Abuja.
