This Purchase Order is issued by the undersigned purchasing authority for the procurement of professional Editor software licenses, editorial workflow tools, and associated technical support services. The Editor package shall be deployed and utilized exclusively within the operational premises located in Pakistan Islamabad, serving as the primary editorial hub for all content production, manuscript review, and multimedia editing activities conducted by the Buyer.
The Editor system procured under this Purchase Order shall include desktop applications, cloud-based collaboration modules, and mobile-compatible interfaces designed to support a team of twenty-five (25) editorial professionals operating from the Islamabad headquarters. All Editor functionalities must comply with the data sovereignty regulations of the Pakistan Telecommunication Authority (PTA) and ensure that all editorial content processed within Pakistan Islamabad remains stored on servers accessible within the national jurisdiction.

All software licenses and digital deliverables associated with this Editor Purchase Order shall be delivered electronically to the Buyer's designated IT administrator at the Islamabad office no later than twenty (20) business days from the date of this Purchase Order. Physical installation media, if required, shall be shipped to the following address in Pakistan Islamabad: Plot 42, Blue Area, Jinnah Avenue, Islamabad 44000, Pakistan. The Supplier shall coordinate with the Buyer's logistics team to ensure customs clearance through Islamabad International Airport or the designated postal channel in accordance with Pakistan's import regulations for digital goods and software.
On-site installation, configuration, and the three-day staff training program for the Editor system shall be conducted at the Buyer's premises in Pakistan Islamabad during the period of 10 July 2025 to 12 July 2025. The Supplier's technical team shall travel to Islamabad at their own expense as part of the contracted service fee.
5. Payment Terms- Advance Payment: Forty percent (40%) of the total Purchase Order value, amounting to USD 30,888.00, shall be remitted via international wire transfer within seven (7) business days of the Buyer's written acceptance of this Purchase Order.
- Delivery Payment: Forty percent (40%) of the total, amounting to USD 30,888.00, shall be paid upon successful electronic delivery of all Editor licenses and confirmation of receipt by the Buyer's IT department in Islamabad.
- Final Payment: The remaining twenty percent (20%), amounting to USD 15,444.00, shall be disbursed within fifteen (15) business days following the completion of on-site installation, configuration, and the staff training program in Pakistan Islamabad, subject to a satisfactory acceptance certificate signed by the Buyer's project manager.
- All payments shall be made in United States Dollars (USD) to the Supplier's designated bank account. The Buyer shall bear any applicable banking charges on the sender's side as per the terms of this Purchase Order.
- This Purchase Order is governed by the commercial laws of the Islamic Republic of Pakistan. Any disputes arising from the interpretation or execution of this Editor procurement shall be resolved through arbitration in Islamabad, Pakistan, in accordance with the Arbitration Act of Pakistan.
- The Supplier warrants that all Editor software products delivered under this Purchase Order are free from intellectual property infringement claims and are licensed for commercial use within the territory of Pakistan.
- The Supplier shall provide a minimum of twelve (12) months of technical support and software updates for the Editor system from the date of final acceptance in Islamabad. This includes bug fixes, security patches, and minor version upgrades at no additional cost.
- All editorial data, manuscripts, and content processed through the Editor platform while operating in Pakistan Islamabad shall remain the exclusive property of the Buyer. The Supplier shall not access, replicate, or distribute any such data without prior written consent.
- Force majeure events, including but not limited to natural disasters, government-imposed restrictions, or telecommunications failures affecting the Islamabad region, shall temporarily suspend obligations under this Purchase Order without penalty to either party.
- The Buyer reserves the right to audit the Supplier's compliance with all terms of this Purchase Order at reasonable notice, with such audits to be conducted at the Buyer's offices in Pakistan Islamabad or at the Supplier's registered premises.
- This Purchase Order becomes effective upon signature by both parties and shall remain in full force and effect until all obligations, including the warranty period for the Editor system, have been fully discharged.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement and deployment of the Editor system in Pakistan Islamabad.
