1. This Purchase Order constitutes a binding agreement between Al Rayyan Digital Solutions LLC (hereinafter "Buyer") and ProEdit Software International GmbH (hereinafter "Vendor") for the procurement, deployment, and maintenance of the ProEdit Professional Editor software suite.
2. All Editor software licenses purchased under this Purchase Order are restricted to use solely within the premises of the Buyer's office located in Doha, State of Qatar. Redistribution, sublicensing, or use of the Editor outside the State of Qatar without prior written consent is strictly prohibited.
3. The Vendor shall deliver all Editor software licenses, installation media, and documentation to the Buyer's designated address in Doha, Qatar no later than the Required Delivery Date stated above. Delivery shall be made via secure digital transfer with physical media (USB drives) delivered to the West Bay, Doha office.
4. Payment shall be made in Qatari Riyals (QAR) via bank transfer to the Vendor's designated account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall incur a penalty of 1.5% per month as per Qatar commercial law.
5. The Vendor warrants that the Editor software is free from defects, viruses, and malicious code, and that it shall perform in accordance with the specifications outlined in the attached technical annex. The warranty period for the Editor is twenty-four (24) months from the date of deployment in Doha, Qatar.
6. All data processed, stored, or transmitted through the Editor platform while operating in Doha, Qatar shall remain within the jurisdiction of the State of Qatar in compliance with the Qatar Personal Data Protection Law (Law No. 13 of 2016) and the Qatar Cybersecurity Law.
7. The Vendor shall provide the Buyer with a comprehensive Editor user manual, administrator guide, and API documentation in both English and Arabic within five (5) business days of the Purchase Order acceptance.
8. Any disputes arising from this Purchase Order shall be resolved through arbitration in Doha, Qatar, in accordance with the rules of the Qatar International Arbitration Centre (QIAC).
9. This Purchase Order is governed by the laws of the State of Qatar. The Vendor acknowledges that all operational activities related to the Editor deployment shall comply with Qatar's Information and Communication Technology (ICT) regulations.
Notes: This Purchase Order is specifically for the procurement of the ProEdit Professional Editor to be installed, configured, and operated at the Buyer's headquarters in Doha, Qatar. The Editor shall serve as the primary document creation, editing, and management tool for all departments. All Editor-related support, updates, and on-site services shall be conducted at the Doha, Qatar location. The Vendor is required to coordinate with the Buyer's IT department in Doha for all deployment activities. This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue.For and on behalf of the Buyer:
