All goods specified in this Purchase Order shall be delivered to the buyer's editorial facility at 14 Tverskaya Street, Building 3, Floor 7, Russia Moscow, 125009. The seller is responsible for international shipping, customs clearance, and import documentation required for the entry of the Editor equipment into the Russian Federation. Delivery to the Russia Moscow site shall be completed no later than August 15, 2025. The seller's technical team shall travel to Russia Moscow to perform the physical installation, network integration, and initial configuration of the Editor system. A three-day on-site training session for the buyer's editorial staff in Russia Moscow shall be conducted immediately following installation to ensure full operational proficiency with the Editor platform.
Payment for this Purchase Order shall be made in Euros (EUR) via international wire transfer to the seller's designated bank account. The payment schedule is as follows: 40% (EUR 66,384.00) due upon execution of this Purchase Order; 40% (EUR 66,384.00) due upon confirmed shipment and provision of Bill of Lading; and the remaining 20% (EUR 33,192.00) due within fifteen (15) business days following successful installation and acceptance of the Editor system at the Russia Moscow facility. All payments are subject to the terms outlined in the master supply agreement between the parties dated January 2024.
- This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG) and, where applicable, the commercial laws of the Russian Federation as they pertain to transactions conducted in Russia Moscow.
- The Editor hardware and software shall carry a minimum warranty period of twenty-four (24) months from the date of acceptance at the Russia Moscow installation site.
- The seller warrants that all Editor software licenses are genuine, fully licensed, and free from any intellectual property encumbrances. The seller shall provide all necessary license keys and activation documentation for the Editor suite.
- Any delay in delivery to Russia Moscow exceeding ten (10) business days beyond the agreed delivery date shall entitle the buyer to a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%.
- The buyer reserves the right to inspect and test the Editor system upon arrival at the Russia Moscow facility. Acceptance shall be confirmed in writing within five (5) business days of delivery. Failure to provide written objection within this period shall constitute deemed acceptance.
- All technical support for the Editor system during the warranty period shall be provided remotely or, if remote resolution is not feasible, via on-site service visits to Russia Moscow at the seller's expense.
- This Purchase Order does not constitute a binding contract until countersigned by both parties. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both the buyer in Russia Moscow and the seller.
- Force majeure events, including but not limited to sanctions-related disruptions, natural disasters, or governmental restrictions affecting international trade with the Russian Federation, shall be addressed in accordance with the force majeure clause of the master supply agreement.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Editor system to be delivered and installed in Russia Moscow.
