1. Description of Goods and ServicesThis Purchase Order is issued by Al-Nakheel Media Productions Ltd., headquartered in Saudi Arabia Jeddah, to procure a comprehensive professional Editor software suite along with associated editorial services, hardware peripherals, and ongoing technical support. The Editor package is intended to equip our post-production facility in Jeddah with industry-leading tools for video editing, motion graphics, color grading, and audio post-production, in full compliance with the Saudi Communications and Media Commission (CMA) regulations and the Vision 2030 digital transformation objectives.

4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All terms are governed by the laws of the Kingdom of Saudi Arabia, with jurisdiction vested in the courts of Jeddah, Saudi Arabia.
4.2 The Supplier shall deliver all Editor software licenses, hardware components, and services to the designated facility in Saudi Arabia Jeddah no later than 01 August 2025. Late delivery shall incur a penalty of 0.5% of the total contract value per calendar day of delay, capped at 10%.
4.3 The Editor software suite must be fully compatible with the existing infrastructure at the Jeddah post-production facility, including the existing SAN storage array (120TB), network topology (10GbE), and operating systems (Windows Server 2022 / macOS Sequoia).
4.4 All Editor deliverables must comply with the Saudi Communications and Media Commission (CMA) content standards, the National Cybersecurity Authority (NCA) data protection regulations, and the Saudi Data and AI Authority (SDAIA) guidelines applicable to Saudi Arabia Jeddah operations.
4.5 The Supplier warrants that all Editor software is free from defects, viruses, and intellectual property encumbrances. A 24-month warranty applies to all hardware items delivered under this Purchase Order.
4.6 Payment shall be processed via bank transfer to the Supplier's designated account. The 30% advance payment is due within 10 business days of Purchase Order acceptance. The remaining 70% is due within 15 business days of successful commissioning and sign-off by the Buyer's technical team in Jeddah.
4.7 The Supplier shall provide a comprehensive Editor user manual, API documentation, and system architecture diagrams in both English and Arabic to support the editorial team in Saudi Arabia Jeddah.
4.8 Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements are not binding.
4.9 In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation in Jeddah. If unresolved within 30 days, the matter shall be referred to arbitration under the rules of the Saudi Center for Commercial Arbitration (SCCA) in Jeddah, Saudi Arabia.
