This Purchase Order is issued by Meridian Digital Solutions Pte. Ltd. (hereinafter referred to as the "Buyer") to Apex Editorial Systems International Ltd. (hereinafter referred to as the "Seller") for the procurement, licensing, and deployment of a professional-grade Editor software platform. All transactions, deliveries, and contractual obligations under this Purchase Order shall be governed by the laws of the Republic of Singapore and shall be executed within the jurisdiction of Singapore Singapore.

The Buyer hereby requests the Seller to supply, install, configure, and license the following Editor product for use across all operational departments of the Buyer located in Singapore Singapore:

The Seller shall deliver and make the Editor platform fully operational at the Buyer's premises in Singapore Singapore in accordance with the following schedule:

Payment for this Purchase Order shall be made in Singapore Dollars (SGD) via bank transfer to the Seller's designated account. The payment schedule for the Editor procurement is as follows:

• 30% Advance Payment (SGD 105,048.75) – Due within 14 calendar days of the Buyer's written acceptance of this Purchase Order.
• 40% Progress Payment (SGD 140,065.00) – Due upon successful completion of Editor on-premises deployment and SSO integration (Milestone 2).
• 20% Completion Payment (SGD 70,032.50) – Due upon final acceptance and go-live of the Editor platform (Milestone 6).
• 10% Retention (SGD 35,016.25) – Due 90 days after final acceptance, subject to satisfactory performance of the Editor priority support package.

All invoices shall reference this Purchase Order number (PO-SG-2025-04872) and shall be submitted to the Buyer's Accounts Payable department in Singapore Singapore. Late payments shall attract interest at the rate of 1.5% per month, calculated on the outstanding balance.

1. Governing Law: This Purchase Order and all transactions relating to the Editor shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes shall be resolved through arbitration in Singapore Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
2. Intellectual Property: All intellectual property rights in the Editor software, its documentation, and associated materials shall remain the exclusive property of the Seller. The Buyer is granted a non-exclusive, non-transferable license to use the Editor within its organisation in Singapore Singapore for the duration of the license term.
3. Warranty: The Seller warrants that the Editor shall be free from material defects in design, workmanship, and performance for a period of twelve (12) months from the date of final acceptance. The Seller shall repair or replace any defective component of the Editor at no additional cost to the Buyer.
4. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order and the Editor deployment. This obligation shall survive termination of this Purchase Order for a period of three (3) years.
5. Data Protection: The Seller shall comply with the Personal Data Protection Act 2012 (PDPA) of Singapore Singapore in the handling of any personal data processed through the Editor platform. All data shall be stored exclusively within Singapore Singapore data centres.
6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Singapore Singapore.
7. Termination: Either party may terminate this Purchase Order with 30 days' written notice if the other party commits a material breach and fails to remedy such breach within the notice period. Upon termination, the Buyer shall pay for all Editor services rendered up to the date of termination.
8. Compliance: The Seller represents and warrants that the Editor and all associated services comply with all applicable regulations, standards, and guidelines in force in Singapore Singapore, including but not limited to the Cybersecurity Act 2018 and the PDPA.

This Purchase Order is valid only upon written acceptance by both parties.
