All hardware components and the Editor software suite shall be delivered to the Mzansi Media Solutions premises at 142 Rivonia Road, Sandton, Johannesburg, South Africa, no later than 30 July 2025. The Editor installation and calibration service must be completed within five (5) business days of hardware delivery. All editorial staff training sessions will be conducted on-site in Johannesburg during the week commencing 4 August 2025. The supplier is required to ensure that the Editor system is fully operational and integrated with our existing content management infrastructure prior to the final acceptance sign-off.
Terms & Conditions- Payment Terms: 30% deposit upon acceptance of this Purchase Order; 50% upon delivery and installation of the Editor suite in Johannesburg; 20% upon successful completion of the training programme and final acceptance.
- Payment Method: Electronic funds transfer (EFT) to the supplier's registered bank account in South Africa. All payments shall be made in South African Rand (ZAR).
- Warranty: The Editor software suite carries a 24-month defect warranty. Hardware components carry a 36-month manufacturer's warranty, serviced by a Johannesburg-based technical support team.
- Compliance: This Purchase Order is governed by the laws of the Republic of South Africa. All transactions are subject to the South African Consumer Protection Act (CPA) and the National Credit Act where applicable.
- Confidentiality: All data processed through the Editor system at the Johannesburg facility shall remain the exclusive property of Mzansi Media Solutions. The supplier shall not access, replicate, or transmit editorial content without written consent.
- Penalties: Late delivery of the Editor suite or hardware beyond the stipulated date shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Johannesburg, South Africa, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
