All software licenses, installation media, and digital keys for the Editor shall be delivered electronically to the designated IT infrastructure team at Seoul Digital Media Solutions Co., Ltd., 14F, 284 Teheran-ro, Gangnam-gu, Seoul, South Korea. Physical installation and configuration services shall be performed on-site in Seoul, South Korea, commencing no later than July 1, 2025, and shall be completed by the required delivery date of July 15, 2025. The Editor must be fully operational across all 50 licensed workstations, integrated with the company's existing network infrastructure, and compliant with South Korea's Personal Information Protection Act (PIPA) regarding data handling and storage. All cloud-based Editor services must maintain data residency within the Seoul, South Korea region to satisfy local regulatory requirements.
- Payment shall be made in South Korean Won (KRW) via bank transfer to the supplier's designated international account. The remitting bank in Seoul, South Korea shall be responsible for any intermediary banking fees.
- Payment is due within thirty (30) calendar days from the date of invoice issuance, which shall follow the successful completion of Editor installation and acceptance testing in Seoul.

- Any disputes arising from this Purchase Order shall be governed by the laws of the Republic of Korea and shall be resolved through arbitration at the Korean Commercial Arbitration Board (KCAB) in Seoul, South Korea.
- The Editor software license is non-transferable and is restricted to use exclusively within the premises and network of the Buyer in Seoul, South Korea, unless otherwise agreed in writing.
