This Purchase Order is issued by Editorial Mediterránea S.L., a publishing and digital media company headquartered in Spain Barcelona, to procure the services of a senior Editor and the associated software, hardware, and licensing required to establish a fully operational editorial department. The Editor engagement covers the full editorial lifecycle for our Q3 and Q4 2025 publishing catalogue, including manuscript acquisition review, copyediting, proofreading, layout supervision, and final publication approval for both print and digital formats. All services and deliverables shall be performed in accordance with the editorial standards established by the Editor and in compliance with Spanish intellectual property law (Ley 23/2011 de Propiedad Intelectual).

- Scope of the Editor Role: The Editor engaged under this Purchase Order shall be responsible for all editorial decisions pertaining to the Q3–Q4 2025 catalogue. This includes initial manuscript evaluation, structural editing, line editing, copyediting, proofreading, and final sign-off prior to print and digital publication. The Editor shall report directly to the Director of Publishing at Editorial Mediterránea S.L., Barcelona.
- Performance Standards: All editorial work shall conform to the RAE orthographic and grammatical standards, the company's in-house style guide, and applicable Spanish publishing regulations. The Editor shall maintain a minimum turnaround of 15 working days per standard manuscript (up to 80,000 words).
- Confidentiality & IP: The Editor shall sign a non-disclosure agreement (NDA) prior to commencing work. All manuscripts, drafts, and editorial notes remain the exclusive intellectual property of Editorial Mediterránea S.L. in accordance with Spanish intellectual property law.
- Delivery & Acceptance: All hardware and software items listed in Section 2 shall be delivered to the Barcelona office address specified above no later than 30 July 2025. Acceptance shall be confirmed in writing within 5 business days of delivery. The Editor service engagement commences on 1 August 2025.
- Payment: Payment of the full amount of €25,280.37 shall be made within 30 calendar days of the invoice date via bank transfer to the IBAN specified in the header. Late payments shall accrue interest at the rate established by Spanish law (Ley 3/2004).
- Warranty & Support: All hardware items carry a minimum 2-year manufacturer warranty valid in Spain. Software licences include 12 months of vendor technical support accessible from Barcelona. The Editor service engagement includes a 14-day performance guarantee period from the start date.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination of the Editor engagement, pro-rata charges for services rendered shall apply. Hardware and software already delivered and accepted shall remain the property of the Buyer.
- Governing Law & Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of Barcelona, Spain.
- Data Protection: All personal data processed in connection with this Purchase Order shall comply with the EU General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 (LOPDGDD). The Editor shall not transfer any manuscript data outside the European Economic Area.
