- This Purchase Order is issued by Iberia Media Solutions S.L., registered in Madrid, Spain, and governs the procurement of Editor services, software, and related materials as described in the line items above.
- The Editor (Item 1) shall commence duties no later than 1 August 2025 at the buyer's premises located in Madrid, Spain. The Editor must hold a valid Spanish work permit or be a Spanish/EU national. All employment terms shall comply with the Spanish Workers' Statute (Estatuto de los Trabajadores) and applicable collective agreements for the Madrid region.
- All Editor software licenses (Item 2) must be activated and configured for use exclusively within the Madrid office. Data processing must adhere to the Spanish Organic Law on Data Protection (LOPDGDD 3/2018) and the EU General Data Protection Regulation (GDPR).
- The Editor Training Program (Item 3) shall be conducted in person at the buyer's Madrid facility. The vendor is responsible for travel, accommodation, and per diem expenses for their Editor specialists attending the training in Spain.
- Payment shall be made via bank transfer to the vendor's designated account within 45 calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established by Spanish law (Ley 3/2004 on late payment in commercial transactions).
- Delivery of all physical and digital goods shall be made DDP (Delivered Duty Paid) to the buyer's address in Madrid, Spain. All customs clearance, import duties, and transportation costs are the vendor's responsibility.
- The vendor warrants that the Editor software is free from defects, fully licensed, and compatible with the buyer's existing IT infrastructure in Madrid. A 12-month warranty period applies from the date of delivery.
- This Purchase Order is governed by the laws of Spain. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
- The vendor acknowledges that the Editor services and software will be deployed in Madrid, Spain, and agrees to comply with all local, regional (Comunidad de Madrid), and national regulations applicable to editorial and publishing activities.
- Neither party may assign this Purchase Order without prior written consent. This document constitutes the entire agreement between the parties regarding the Editor procurement described herein.
