All hardware components referenced in this Purchase Order shall be delivered to the buyer's facility at Calle de Colón 42, 46004 Valencia, Spain, no later than 15 August 2025. The Editor software licenses and server components shall be delivered electronically within five (5) business days of full payment confirmation. Installation, configuration, and integration of the Editor platform into the existing network infrastructure in Spain Valencia shall be completed by the supplier's certified engineers within ten (10) business days of hardware delivery. The supplier is responsible for all shipping, customs clearance, and intra-Spanish logistics to the designated address in Valencia.
5. Payment TermsPayment for this Purchase Order shall be made in accordance with the following schedule: a 30% advance payment (€74,850.60) due upon signature of this Purchase Order; a 50% milestone payment (€124,751.00) due upon confirmed delivery and installation of the Editor hardware and software in Spain Valencia; and a final 20% balance (€49,900.40) due thirty (30) calendar days after successful completion of the Editor training programme and sign-off by the buyer's Procurement Director. All payments shall be made via bank transfer to the supplier's designated IBAN account. Late payments shall incur interest at the rate of 1.5% per month, in accordance with Spanish commercial law (Ley 3/2004 de lucha contra la morosidad).
6. Terms & Conditions6.1 This Purchase Order is governed by the commercial laws of the Kingdom of Spain. Any disputes arising from the interpretation or execution of this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Valencia, Spain.
6.2 The Editor software licenses granted under this Purchase Order are non-transferable and restricted to use solely by authorized personnel of Valencia Media Solutions S.L. operating within the Spain Valencia premises. Any unauthorized duplication, redistribution, or use of the Editor platform outside the licensed scope constitutes a material breach of this agreement.
6.3 The supplier warrants that the Editor software and all associated hardware are free from defects in design, materials, and workmanship for a period of twenty-four (24) months from the date of installation in Spain Valencia. During this warranty period, the supplier shall repair or replace any defective Editor components at no additional cost to the buyer.
6.4 The supplier shall comply with all applicable data protection regulations, including the EU General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 (LOPDGDD), in the handling of any editorial content processed through the Editor platform in Spain Valencia.
6.5 The buyer reserves the right to inspect and test the Editor software and hardware upon delivery. Acceptance shall be deemed complete only after a written sign-off by the buyer's technical team confirming that the Editor platform meets all specifications outlined in this Purchase Order.
6.6 Force majeure events, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Spain Valencia or the supplier's country of origin, shall extend delivery timelines proportionally without penalty to either party.
6.7 This Purchase Order constitutes the entire agreement between the parties regarding the purchase and deployment of the Editor software suite and associated hardware. No amendments or modifications to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
7. Acceptance & AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Editor software suite to be deployed in Spain Valencia. This document is executed in two (2) original copies, one for each party.
