All software licenses, activation keys, and associated documentation for the Editor shall be delivered electronically to the procurement department of Ceylon Digital Solutions (Pvt) Ltd. at the address stated above in Sri Lanka Colombo no later than 25 June 2025. The on-site deployment and training for the Editor must be conducted at our premises in Colombo 03, Sri Lanka, between 26 June and 28 June 2025. The vendor is responsible for arranging travel, accommodation, and all logistics for their technical team visiting Sri Lanka Colombo for the deployment of the Editor.

The Editor must be fully operational and integrated into our internal network infrastructure by the required delivery date of 30 June 2025. Any delay in the delivery or deployment of the Editor beyond this date will incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay.

Payment for this Purchase Order shall be made in accordance with the following schedule:

• 40% Advance Payment: $15,393.75 – Due within 7 business days of acceptance of this Purchase Order, payable via international wire transfer to the vendor's designated bank account.
• 40% on Delivery: $15,393.75 – Due within 10 business days of confirmed electronic delivery of all Editor licenses and activation keys to Sri Lanka Colombo.
• 20% on Completion: $7,696.88 – Due within 15 business days of successful on-site deployment, training, and final acceptance of the Editor at our Colombo office.

All payments shall be made in US Dollars (USD) via SWIFT wire transfer. The buyer's bank is Commercial Bank of Ceylon, Colombo Branch, Sri Lanka. The buyer reserves the right to withhold the final 20% payment until all Editor functionality has been verified and accepted in writing by the IT Director of Ceylon Digital Solutions.

1. This Purchase Order is governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising from this Purchase Order shall be resolved through arbitration in Colombo, Sri Lanka, in accordance with the Arbitration Act No. 11 of 1995.
2. The Editor software must comply with all applicable data protection regulations in Sri Lanka, including the Personal Data Protection Act No. 9 of 2022. All user data processed by the Editor while in use in Sri Lanka Colombo must be stored on servers located within Sri Lanka or in a jurisdiction approved by the Sri Lanka Data Protection Authority.
3. The vendor warrants that the Editor is free from defects, viruses, and malicious code, and that all licenses are genuine and transferable. The warranty period for the Editor is 24 months from the date of deployment in Sri Lanka Colombo.
4. The vendor shall provide a minimum of 12 months of priority technical support for the Editor, including on-site visits to our Sri Lanka Colombo office within 24 hours of a critical failure report.
5. Intellectual property rights for the Editor remain with GlobalSoft Technologies Inc. Ceylon Digital Solutions (Pvt) Ltd. is granted a non-exclusive, non-transferable license to use the Editor solely within its business operations in Sri Lanka Colombo.
6. This Purchase Order is valid for acceptance within 14 calendar days from the date of issue. Failure to accept within this period will result in the automatic cancellation of this Purchase Order.
7. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
