4. Delivery & Installation Terms

The supplier shall deliver all digital licenses and physical installation media for the Editor software to the buyer’s premises in Sudan Khartoum no later than 30 days from the date of this Purchase Order. The on-site installation and training workshop shall be conducted at the buyer’s main office in Omdurman, Khartoum, Sudan. The supplier is responsible for all shipping, customs clearance at the Port of Sudan, and local delivery logistics within the Khartoum metropolitan area. All Editor software components must be fully operational and licensed prior to the commencement of the training session.

5. Payment Terms

Payment for this Purchase Order shall be made in United States Dollars (USD) via international wire transfer to the supplier’s designated bank account. The payment schedule is as follows:

1. 40% Advance Payment (USD 26,903.60) — Due within 7 business days of the signed Purchase Order confirmation.
2. 40% on Delivery (USD 26,903.60) — Due within 10 business days of confirmed delivery and installation of the Editor software in Sudan Khartoum.
3. 20% Final Payment (USD 13,451.80) — Due within 15 business days of successful completion of the training workshop and issuance of the final acceptance certificate by the buyer’s IT department.

6. Terms & Conditions

1. This Purchase Order constitutes a binding agreement between Nile Valley Digital Publishing House and Global Editorial Solutions Ltd. upon signature by both parties.
2. The Editor software licenses are non-transferable and are restricted to use within the buyer’s facilities in Sudan Khartoum and its approved remote offices within the Republic of Sudan.
3. The supplier warrants that the Editor platform shall be free from defects, fully licensed, and compliant with all applicable Sudanese data protection and intellectual property regulations.
4. Any delay in delivery beyond the stipulated 30-day window shall incur a penalty of 1% of the total Purchase Order value per day of delay, up to a maximum of 10%.
5. The supplier shall provide a 12-month warranty on all Editor software modules, covering bug fixes, security patches, and compatibility updates.
6. All disputes arising from this Purchase Order shall be resolved through arbitration in Khartoum, Sudan, in accordance with the Sudanese Commercial Arbitration Law.
7. This Purchase Order is governed by the laws of the Republic of Sudan and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
8. The buyer reserves the right to inspect and test the Editor software upon arrival in Sudan Khartoum before issuing the final acceptance certificate.
