- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, including the Tanzania Commercial Code and the Tanzania Labour Act, Cap. 206. Any disputes arising from this Purchase Order relating to the Editor’s engagement shall be resolved through arbitration in Dar es Salaam under the Tanzania Arbitration Act.
- Payment Terms: Payment for the Editor’s professional services shall be made monthly in arrears via bank transfer to the supplier’s designated account at CRDB Bank, Dar es Salaam branch, within fifteen (15) business days of invoice submission. Software and hardware items (Line Items 2–5) shall be paid in full within ten (10) business days of confirmed delivery and acceptance at the Kariakoo office.
- Delivery and Acceptance: All hardware and software deliverables shall be delivered to Mwanza Publishing & Media Ltd., Plot 27, Sam Nujoma Street, Kariakoo, Dar es Salaam, Tanzania. The Editor’s on-site commencement date is 1 July 2025. Acceptance of goods shall be confirmed in writing within five (5) business days of delivery.
- Editor’s Obligations: The Editor engaged under this Purchase Order shall adhere to the company’s editorial guidelines, maintain confidentiality of all unpublished manuscripts, and produce a minimum of 15,000 words of edited content per week. The Editor shall report directly to the Managing Director in Dar es Salaam and shall participate in weekly editorial meetings held at the Kariakoo office.
- Warranty and Support: All hardware items carry a minimum 24-month manufacturer warranty. Software licenses include 12 months of vendor technical support. The Editor’s services are warranted to meet the quality standards set forth in the attached Statement of Work (Annex A).
- Tax and Duties: All prices are inclusive of Value Added Tax (VAT) at the prevailing Tanzanian rate of 18%. No additional customs duties are applicable as all goods are sourced locally within Tanzania Dar es Salaam or its immediate region.
- Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, the Editor’s final salary and any outstanding software/hardware payments shall be settled within fourteen (14) days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Dar es Salaam region, government-imposed restrictions, or widespread power outages.
This Purchase Order is issued with the full authority of the Board of Directors of Mwanza Publishing & Media Ltd. The supplier, Kivuli Editorial Solutions Co., acknowledges receipt of this Purchase Order and confirms its ability to deliver the Editor services and all associated goods as specified herein. Both parties agree that this document constitutes a binding commercial agreement upon signature.
