Delivery shall be made via air freight through Suvarnabhumi International Airport (BKK) with final ground transport arranged by the supplier's designated logistics partner in Thailand Bangkok. The supplier is responsible for all customs clearance procedures, Thai import documentation, and compliance with the Thai Customs Department regulations. Installation and configuration of the Editor software on all 25 workstations, along with the central Editor server, shall be completed within ten (10) business days of physical delivery to the Thailand Bangkok site. The supplier shall ensure that all Editor systems are fully operational, networked, and integrated with the existing Thailand Bangkok office infrastructure prior to the handover inspection.

1. This Purchase Order is governed by the commercial laws of the Kingdom of Thailand and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order related to the Editor procurement shall be resolved through arbitration in Thailand Bangkok under the rules of the Thai Arbitration Institute.
2. The Editor software licenses are non-transferable and restricted to use exclusively at the Thailand Bangkok office of Siam Digital Media Publishing Co., Ltd. Any unauthorized redistribution or use outside the Thailand Bangkok premises constitutes a material breach of this Purchase Order.
3. Payment shall be made via wire transfer to the supplier's designated bank account within forty-five (45) calendar days of receipt of a valid tax invoice. The invoice must include the Thai VAT registration number and comply with the Revenue Code of Thailand (B.E. 2564).
4. The supplier warrants that all Editor hardware components are new, free from defects, and conform to the specifications outlined in this Purchase Order. The warranty period for hardware is twenty-four (24) months from the date of delivery in Thailand Bangkok.
5. Force majeure events, including but not limited to natural disasters affecting Thailand Bangkok, shall extend delivery timelines by a period equivalent to the duration of the event, provided written notice is given within five (5) business days.
6. The supplier shall provide a comprehensive Editor user manual and technical documentation in both English and Thai languages, delivered electronically and in printed form at the Thailand Bangkok site.
7. Early termination of this Purchase Order by either party requires thirty (30) days written notice. In the event of termination, any Editor software licenses already activated in Thailand Bangkok shall be deactivated, and hardware shall be returned to the supplier at the buyer's expense.
8. All data processed through the Editor system in Thailand Bangkok shall comply with the Personal Data Protection Act (PDPA) of Thailand (B.E. 2562). The supplier shall execute a Data Processing Agreement prior to installation.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement and deployment of the Editor system in Thailand Bangkok. This document constitutes a binding commercial agreement effective from the date of the last signature.
