All software licenses, installation media, and associated documentation for the Editor shall be delivered electronically to the designated IT server room at the Ankara, Turkey office no later than 28 June 2025. The on-site installation team from the supplier shall travel to Turkey Ankara between 1–3 July 2025 to perform the full deployment of the Editor across all 50 workstations. The user training workshop shall be conducted on 4–5 July 2025 at the ADPMS training facility in Çankaya, Ankara. All delivery and service activities are subject to the operational hours and public holiday calendar of the Republic of Turkey.
5. Payment TermsPayment for this Purchase Order shall be made in accordance with the following schedule:

All payments shall be made via international wire transfer to the supplier's designated bank account. The buyer shall bear any applicable Turkish customs duties, import taxes, or cross-border transaction fees associated with this Purchase Order. Invoices must reference the Purchase Order number PO-TR-ANK-2025-00472.
6. Terms & Conditions- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All terms herein govern the procurement, delivery, and deployment of the Editor software in Turkey Ankara.
- The Editor software license is non-transferable and is restricted to use exclusively at the Ankara, Turkey premises of the Buyer. Any relocation of the Editor deployment to a different city or country requires a written amendment to this Purchase Order.
- The Seller warrants that the Editor software shall be free from material defects, viruses, and unauthorized access mechanisms for a period of twelve (12) months from the date of installation in Ankara.
- The Seller shall provide all necessary technical documentation, user manuals, and API references for the Editor in both English and Turkish to ensure full usability by the Ankara-based staff.
- Any delay in delivery or service beyond the dates specified in this Purchase Order shall entitle the Buyer to a penalty of 0.5% of the total contract value per calendar day of delay, up to a maximum of 10%.
- This Purchase Order is governed by the commercial laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved through arbitration in Ankara, Turkey, in accordance with the rules of the Ankara Arbitration Center.
- The Seller shall comply with all applicable data protection regulations of Turkey, including the Personal Data Protection Law (KVKK – Law No. 6698), in relation to any user data processed through the Editor platform while deployed in Ankara.
- Force majeure events, including but not limited to natural disasters, government sanctions, or cross-border trade restrictions affecting Turkey, shall temporarily suspend obligations under this Purchase Order without penalty to either party.
- This Purchase Order may not be assigned or subcontracted by either party without prior written consent of the other party.
