The Editor software suite and all associated deliverables shall be delivered, installed, and made fully operational at the buyer's premises located in United Arab Emirates Abu Dhabi no later than 30 July 2025. The supplier shall ensure that all Editor components comply with the data residency and cybersecurity regulations enforced by the UAE Telecommunications and Digital Government Regulatory Authority (TDRA). The Editor cloud server shall be hosted exclusively within the United Arab Emirates Abu Dhabi region to satisfy local data sovereignty requirements.
5. Terms and Conditions- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All terms are governed by the laws of the United Arab Emirates, with jurisdiction vested in the courts of Abu Dhabi.
- The Editor software license is granted exclusively for internal use by the Buyer's employees operating within the United Arab Emirates Abu Dhabi. Redistribution, sublicensing, or transfer of the Editor to any third party is strictly prohibited without prior written consent.
- Payment shall be remitted via bank transfer to the Supplier's designated account within thirty (30) calendar days from the date of invoice issuance. Late payments shall incur a penalty of 1.5% per month as stipulated under UAE commercial law.
- The Supplier warrants that the Editor product is free from defects, fully functional, and compliant with all applicable UAE intellectual property and software licensing regulations. A warranty period of twenty-four (24) months applies to all hardware and software components.
- Any modifications, cancellations, or amendments to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall hold no legal standing.
- The Supplier shall provide a comprehensive Editor user manual, API documentation, and bilingual (Arabic/English) support resources as part of the delivery package.
- Force majeure events, including but not limited to natural disasters, government sanctions, or pandemics affecting the United Arab Emirates Abu Dhabi, shall temporarily suspend obligations under this Purchase Order without penalty to either party.
- All disputes arising from this Purchase Order shall first be subject to mediation in Abu Dhabi. If mediation fails within sixty (60) days, the matter shall be referred to the Abu Dhabi Commercial Court for final resolution.
