The Editor software package shall include full licensing, initial installation, configuration, and a minimum of twelve (12) months of priority technical support and software updates.

The Editor is required to support multi-user collaborative workflows, version control integration, real-time co-editing capabilities, and full compatibility with our existing Microsoft 365 and Adobe Creative Cloud ecosystems. All Editor licences must be activated and operational on our internal network infrastructure located at the United Kingdom London premises no later than the required delivery date stated above.

All Editor software licences, installation media, and associated documentation shall be delivered to our registered office at 42 Fleet Street, London EC4Y 1AA, United Kingdom. The supplier is responsible for all shipping, handling, and insurance costs associated with the delivery of this Purchase Order. On-site installation and configuration of the Editor across all 45 designated workstations must be completed within five (5) business days of the delivery date. Thames Digital Solutions Ltd. reserves the right to conduct a 10-business-day acceptance period following the completion of Editor installation. Any defects, licensing errors, or performance issues identified during this acceptance window must be remediated by the supplier at no additional cost. The supplier warrants that the Editor software delivered under this Purchase Order shall be free from material defects in design, code, and performance for a period of twelve (12) months from the date of acceptance. The supplier shall provide all necessary updates, patches, and security fixes for the Editor during the support contract period. This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.

The supplier acknowledges that in the course of installing and supporting the Editor software at our United Kingdom London premises, they may have access to proprietary editorial content, client data, and internal business information. The supplier agrees to maintain strict confidentiality in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. No data shall be transferred outside the United Kingdom without prior written consent from Thames Digital Solutions Ltd.
