All hardware components, software licenses, and the Editor position onboarding shall be completed no later than July 15, 2025. Delivery of all physical goods shall be made to the Lakefront Media Group facility at 233 S Wacker Drive, United States Chicago, IL 60606. The vendor, Midwest Editorial Solutions, Inc., is responsible for all shipping, handling, and on-site installation within the United States Chicago metropolitan area. The Editor (senior professional) shall commence active duty on or before July 1, 2025, and shall report to the Director of Post-Production at the United States Chicago headquarters.
Payment for this Purchase Order shall be made via wire transfer to the vendor's designated bank account. The payment schedule is as follows: 40% due upon execution of this Purchase Order, 40% due upon delivery and installation of all hardware and software at the United States Chicago facility, and the remaining 20% due upon successful completion of the Editor onboarding and a 30-day performance verification period. Net 30 days applies to each invoice. Late payments shall accrue interest at 1.5% per month as permitted under Illinois commercial code.
5.1 This Purchase Order is governed by the laws of the State of Illinois and the federal laws of the United States. Any disputes arising from this Purchase Order shall be resolved through arbitration in United States Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
5.2 The Editor position described herein is subject to a standard employment agreement, background check, and right-to-work verification in compliance with United States federal and Illinois state employment regulations. The Editor shall be classified as a full-time employee of Lakefront Media Group, LLC.
5.3 All software licenses purchased under this Purchase Order are non-transferable and are licensed exclusively for use at the United States Chicago facility address listed above. Any relocation of the Editor workstation environment requires prior written consent from the software vendor.
5.4 The vendor warrants that all hardware delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of three (3) years from the date of installation in United States Chicago. Software licenses include all updates and patches for the duration of the subscription term.
5.5 This Purchase Order may not be modified, amended, or supplemented except by a written addendum signed by authorized representatives of both parties. Any changes to the scope of Editor services, software quantities, or delivery locations within United States Chicago must be documented in writing.
5.6 Both parties agree to maintain confidentiality regarding the terms of this Purchase Order and any proprietary information exchanged during the procurement and onboarding of the Editor. This obligation survives termination of this Purchase Order for a period of five (5) years.
5.7 In the event of force majeure, including but not limited to natural disasters affecting the United States Chicago area, either party may be relieved of performance obligations for the duration of the event, provided written notice is given within 48 hours.
