All software licenses associated with the Editor shall be perpetual, non-transferable, and specifically registered to Gulf Coast Media Solutions, LLC, with the primary operational location designated as Houston, Texas, United States.

All hardware components listed in this Purchase Order shall be delivered to the Gulf Coast Media Solutions facility located at 1200 Post Oak Blvd, Suite 4500, Houston, Texas 77056, United States. The supplier, ProEdit Systems International, Inc., shall bear all shipping, handling, and insurance costs associated with the transportation of the Editor hardware to the United States Houston delivery address. Delivery must be completed no later than July 15, 2025, to ensure alignment with our Q3 editorial production schedule. The on-site installation and configuration of the Editor system shall commence within five (5) business days of hardware delivery and must be fully operational within fifteen (15) business days of the initial delivery date.

Upon completion of the Editor system installation at our United States Houston facility, Gulf Coast Media Solutions, LLC shall conduct a comprehensive acceptance inspection within ten (10) business days. The inspection shall verify that the Editor platform meets all performance benchmarks, that all forty-five (45) user seats are fully functional, and that the system integrates seamlessly with our existing editorial workflows. Any deficiencies identified during this inspection period shall be remediated by the supplier at no additional cost to the buyer, as stipulated in this Purchase Order.

Payment for this Purchase Order shall be made via wire transfer to the account designated by ProEdit Systems International, Inc. The total amount of $519,600.00 USD shall be due within thirty (30) calendar days of the date of the final invoice, which shall be issued upon successful acceptance of the Editor system. A late payment penalty of 1.5% per month shall apply to any outstanding balance beyond the Net 30 payment window. All payments are subject to the terms and conditions governing this Purchase Order and applicable Texas state commercial law.

The supplier warrants that the Editor software and all associated hardware delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance. The Editor system shall comply with all applicable federal and state regulations within the United States, including but not limited to the Texas Business & Commerce Code and all relevant data protection statutes. The supplier further warrants that the Editor platform shall not contain any unauthorized third-party code or intellectual property encumbrances.

This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Houston, Texas, United States. Both parties agree to attempt good-faith mediation prior to initiating any formal litigation proceedings.

This Purchase Order constitutes the entire agreement between Gulf Coast Media Solutions, LLC and ProEdit Systems International, Inc. with respect to the procurement of the Editor system for the United States Houston facility. No modification, amendment, or waiver of any provision of this Purchase Order shall be effective unless made in writing and signed by authorized representatives of both parties. This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other.
