Terms and Conditions
1. Delivery: All software licenses, hardware components, and digital Editor installation media shall be delivered to the receiving address in United States Miami no later than June 30, 2025. The Editor hardware acceleration cards must arrive at the Miami facility in original, unopened packaging with all manufacturer documentation included.
2. Payment Terms: Net 30 days from the date of this Purchase Order. Payment shall be made via wire transfer to the vendor account specified on the accompanying invoice. A 1.5% monthly late fee shall apply to any balance not settled within the agreed-upon period.
3. Warranty: The Editor software suite carries a standard 12-month manufacturer warranty from the date of activation. Hardware components (GPU cards) carry a 3-year limited warranty. All warranty claims for items deployed in United States Miami shall be processed through the vendor's regional support center in Miami, FL.
4. Acceptance: Miami Media & Production Group LLC shall have ten (10) business days following delivery to inspect and test the Editor software and associated hardware. Any defects, licensing discrepancies, or non-conformities must be reported in writing to the vendor within this acceptance window.
5. Intellectual Property: All Editor software, plugins, and associated documentation remain the exclusive intellectual property of CreativePro Software Solutions, Inc. The license granted herein is non-transferable and restricted to use within the United States Miami operational footprint of the purchasing entity.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising from this Purchase Order related to the Editor software procurement shall be resolved in the courts of Miami-Dade County, United States Miami.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the United States Miami region, government-mandated shutdowns, or supply chain disruptions.
8. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and technical specifications outlined in this Purchase Order. The Editor software configuration details and deployment architecture for the United States Miami facility shall be treated as proprietary information.
