All Editor hardware components and software media shall be delivered to the Buyer's facility at 450 Fifth Avenue, Suite 1200, United States New York City, New York 10018, no later than August 1, 2025. The Vendor shall coordinate with the Buyer's IT department to schedule the installation of the Editor workstation and storage array during non-production hours. All delivery and installation activities shall comply with the building management regulations of the United States New York City commercial property. The Vendor is responsible for all freight, insurance, and handling costs associated with the transport of the Editor equipment to the United States New York City location.
4. Payment TermsPayment for this Purchase Order shall be made as follows: a deposit of thirty percent (30%) of the grand total, amounting to $30,803.45, is due upon execution of this Purchase Order. The remaining seventy percent (70%), amounting to $71,874.71, shall be due within thirty (30) calendar days following successful installation, calibration, and acceptance of the Editor system at the United States New York City facility. Payment shall be made via wire transfer to the Vendor's designated bank account. Late payments shall incur a penalty of 1.5% per month. All amounts are denominated in United States Dollars (USD).
5. Acceptance and WarrantyThe Buyer shall have a period of fifteen (15) business days following installation to test and accept the Editor system. Acceptance requires that the Editor software operates without critical defects, that all hardware components meet the specifications outlined in this Purchase Order, and that the training program has been completed satisfactorily. The Vendor provides a two-year limited warranty on all Editor hardware and a one-year warranty on the software license. Any defects discovered during the warranty period shall be remedied at no additional cost to the Buyer. The warranty is valid for use within the United States New York City metropolitan area and the broader United States jurisdiction.
6. Terms and Conditions- This Purchase Order is governed by the laws of the State of New York and the federal laws of the United States. Any disputes arising from this Purchase Order shall be resolved in the courts of New York County, United States New York City.
- The Vendor warrants that all Editor software licenses are legitimate, properly authorized, and free from any intellectual property encumbrances.
- The Buyer shall not resell, sublicense, or redistribute the Editor software or hardware to any third party without prior written consent from the Vendor.
- The Vendor shall maintain confidentiality regarding the Buyer's production workflows, project data, and proprietary content processed through the Editor system at the United States New York City facility.
- Force majeure events, including but not limited to natural disasters affecting the United States New York City area, shall excuse timely performance for a period not exceeding thirty (30) days.
