- Scope of Work: The Editor services outlined in this Purchase Order shall be performed in accordance with the editorial standards established by Editorial Grupo Andino, C.A., and in compliance with all applicable publishing regulations in Venezuela Caracas. The Editor shall maintain strict confidentiality regarding all manuscripts and proprietary content handled during the engagement.
- Delivery and Location: All Editor deliverables, including edited manuscripts, revised digital content, and quality assurance reports, shall be submitted to the buyer's office located in Venezuela Caracas via the company's secure digital portal. The on-site training workshop (Item 5) shall be conducted at the buyer's premises in Venezuela Caracas on dates to be mutually agreed upon no later than August 15, 2025.
- Payment Terms: Payment for this Purchase Order shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon completion of the third month of Editor services, and 25% upon final delivery and acceptance of all Editor work products. All payments shall be processed in US Dollars (USD) via international wire transfer to the supplier's designated account. The buyer acknowledges that currency exchange rates applicable in Venezuela Caracas may affect the local currency equivalent of the total amount.
- Performance Standards: The Editor shall adhere to a minimum turnaround time of five (5) business days per manuscript of up to 50,000 words. All edited materials must pass a secondary internal review by the Venezuela Caracas editorial director before final publication. Failure to meet quality benchmarks as defined in the attached Service Level Agreement (SLA) shall entitle the buyer to a 10% reduction in the corresponding installment.
- Intellectual Property: All edited content, revised manuscripts, and derivative works produced by the Editor under this Purchase Order shall be the exclusive property of Editorial Grupo Andino, C.A. The Editor retains no claim to the final published works. The Editor may reference the engagement in professional portfolios only with prior written consent from the buyer in Venezuela Caracas.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all Editor services rendered up to the termination date. The Editor shall deliver all work-in-progress materials to the Venezuela Caracas office within ten (10) business days of the termination notice.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Bolivarian Republic of Venezuela, with the primary jurisdiction being Venezuela Caracas. Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Venezuelan Chamber of Commerce.
- Force Majeure: Neither party shall be liable for delays or failures in performance of Editor services resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Venezuela Caracas, internet infrastructure failures, or international sanctions affecting cross-border payments.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Editor services to be utilized by Editorial Grupo Andino, C.A. in Venezuela Caracas. This Purchase Order constitutes a binding agreement between the parties upon execution by both authorized representatives.
