• The remaining 50% balance of $50,397.50 USD shall be due upon successful completion of the Editor on-site training and verified deployment at our Vietnam Ho Chi Minh City premises.
• All payments are subject to applicable Vietnamese import tax regulations and customs duties as enforced in Vietnam Ho Chi Minh City. The buyer is responsible for any additional governmental levies imposed by the Vietnam Ho Chi Minh City Department of Taxation.
• Late payments shall incur a penalty of 1.5% per month on the outstanding balance, calculated from the due date specified in this Purchase Order.

GlobalEditor Technologies Inc. warrants that the Editor software suite delivered under this Purchase Order shall be free from material defects in design and function for a period of twelve (12) months from the date of deployment in Vietnam Ho Chi Minh City. The seller shall provide dedicated technical support (24/7 remote assistance) for the Editor platform throughout the warranty period. Any Editor software updates, patches, or security fixes released during the subscription term shall be provided at no additional cost to the buyer operating in Vietnam Ho Chi Minh City.

This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, with specific reference to commercial regulations applicable in Vietnam Ho Chi Minh City. Any disputes arising from the interpretation or execution of this Purchase Order regarding the Editor product shall first be subject to good-faith negotiation between the parties. Should negotiation fail within thirty (30) days, the dispute shall be referred to arbitration under the Vietnam International Arbitration Centre (VIAC) located in Vietnam Ho Chi Minh City. The language of arbitration shall be English.
