This Purchase Order is issued by the Toronto District Board of Education (hereinafter referred to as the "Buyer") to EducAdmin Professional Services Inc. (hereinafter referred to as the "Supplier") for the recruitment, onboarding, and first-year engagement of a qualified Education Administrator to support the administrative operations of the Buyer's secondary school division in Canada Toronto. This Purchase Order governs all terms, conditions, deliverables, and financial obligations associated with the procurement of the Education Administrator role as outlined in the line items below.
The following line items constitute the full scope of work authorized under this Purchase Order. All services shall be performed in accordance with the Education Act (Ontario), the Canada Labour Code where applicable, and all municipal bylaws governing educational administration in Canada Toronto.

3.1 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Toronto prior to litigation.
3.2 Delivery and Commencement: The Education Administrator shall commence duties no later than July 1, 2025, at the designated school facility in Canada Toronto. The Supplier is responsible for ensuring the Education Administrator is fully onboarded and operational by this date.
3.3 Payment Schedule: Payment for Item 003 (salary and benefits) shall be processed on a bi-weekly basis in accordance with the Canada Toronto public sector payroll cycle. All other line items shall be invoiced upon completion of the respective deliverable, with payment due within thirty (30) calendar days of invoice receipt.
3.4 Confidentiality: The Education Administrator and the Supplier shall maintain strict confidentiality regarding all student records, personnel files, and proprietary institutional data in compliance with PIPEDA and the Ontario Freedom of Information and Protection of Privacy Act (FIPPA).
3.5 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination, and the Education Administrator's employment shall be concluded in accordance with the Canada Labour Code and Ontario Employment Standards Act.
3.6 Compliance: The Supplier warrants that the Education Administrator shall hold all necessary certifications, clearances, and background checks required for employment in the Canada Toronto public education sector, including a Vulnerable Sector Check (VSC) through the Royal Canadian Mounted Police (RCMP).
This Purchase Order is valid for acceptance within ten (10) business days of the date of issue. The Supplier's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and line items specified herein. No modifications to this Purchase Order shall be valid unless made in writing and signed by both parties.
Note: This Purchase Order is subject to the approval of the Toronto District Board of Education's Procurement Committee and the Canada Toronto Municipal Finance Office.
