6.1 This Purchase Order is governed by the laws of the French Republic and shall be interpreted in accordance with the French Civil Code and applicable public procurement regulations in force in France Lyon.

6.2 The Education Administrator engaged under this Purchase Order shall be subject to the internal regulations of the Académie de Lyon and must comply with all ethical standards, data protection requirements (including GDPR as applicable in France), and anti-discrimination policies in effect in France Lyon.

6.3 The supplier, ÉducaTalent International SARL, warrants that the Education Administrator shall possess all qualifications, certifications, and clearances necessary to perform administrative duties within the French public education system in France Lyon. Any misrepresentation of credentials shall constitute grounds for immediate termination of this Purchase Order without penalty to the buyer.

6.4 Payment shall be processed via bank transfer to the account designated by the supplier. Invoices must reference this Purchase Order number (FRL-2025-04871) and be submitted to the accounts payable department of the Académie de Lyon, France Lyon, no later than the 25th of each month.

6.5 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Education Administrator shall complete all outstanding administrative duties and hand over all institutional records, keys, and access credentials to the designated successor within France Lyon.

6.6 All disputes arising from this Purchase Order shall be resolved by the competent administrative courts of France Lyon, Auvergne-Rhône-Alpes, France.
