- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq, specifically the Iraqi Public Procurement Law No. 22 of 2013 and all applicable municipal regulations of Baghdad, Iraq. Any disputes arising from this Purchase Order shall be resolved through the Baghdad Commercial Court.
- Commencement and Location: The Education Administrator shall commence duties no later than 1 August 2025 at the Baghdad Regional Directorate of Education, Al-Mansour District, Baghdad, Iraq. All services shall be rendered exclusively within the administrative boundaries of Iraq Baghdad unless prior written authorization is granted by the Purchasing Entity.
- Qualification Requirements: The Education Administrator engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Educational Administration or a related field from an accredited Iraqi university, possess a valid Iraqi professional license, and demonstrate a minimum of five (5) years of administrative experience within the Iraqi public education sector in Baghdad or its surrounding governorates.
- Payment Terms: Payment for this Purchase Order shall be made in quarterly installments via bank transfer to the Supplier's designated account at the Central Bank of Iraq, Baghdad branch. Each installment shall be due within thirty (30) calendar days following the submission of a valid invoice and the completion of the corresponding quarterly performance review of the Education Administrator.
- Performance Standards: The Education Administrator shall adhere to all operational guidelines issued by the Ministry of Education, Republic of Iraq, and shall comply with all local labor laws, working-hour regulations, and public-sector conduct codes applicable in Baghdad, Iraq. Failure to meet the performance benchmarks outlined in the service-level agreement attached as Annex A to this Purchase Order shall entitle the Purchasing Entity to issue a formal notice of non-compliance.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach by the Supplier, the Purchasing Entity may terminate this Purchase Order immediately upon written notice. Upon termination, the Education Administrator shall complete all pending administrative duties and hand over all records, documents, and digital files pertaining to the Baghdad education portfolio within fifteen (15) business days.
- Confidentiality and Data Protection: The Education Administrator shall maintain strict confidentiality regarding all student records, staff information, and institutional data encountered during the performance of duties in Iraq Baghdad. All data shall be handled in compliance with the Iraqi Personal Data Protection regulations and stored exclusively on government-approved servers located within Baghdad, Iraq.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to civil unrest, natural disasters, government-mandated closures, or public health emergencies affecting the city of Baghdad, Iraq. The affected party shall notify the other in writing within five (5) business days of the occurrence of such event.
- Amendments: No modification, amendment, or supplement to this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both parties. All amendments shall reference this Purchase Order number (PO-IRQ-BGH-2025-0472) and shall be filed with the Baghdad Regional Directorate's procurement records office.
