- Governing Law: This Purchase Order and the resulting service contract shall be governed by and construed in accordance with the laws of the Republic of Türkiye, specifically the Turkish Public Procurement Law No. 4734, the Turkish Labor Law No. 4857, and the Turkish National Education Law No. 1739. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Turkey Ankara.
- Commencement Date: The Education Administrator shall commence duties no later than 1 September 2025, coinciding with the start of the 2025–2026 academic year in Turkey Ankara. The supplier shall ensure that all onboarding procedures, background checks, and regulatory clearances are completed by 25 August 2025.
- Payment Terms: Payment shall be made in monthly installments via bank transfer to the supplier's designated account within fifteen (15) business days following the end of each calendar month. The first payment shall be due by 15 October 2025. - Confidentiality and Data Protection: The Education Administrator shall comply with the Turkish Personal Data Protection Law No. 6698 (KVKK) and all data handling protocols established by the Ministry of National Education. All student records, personnel files, and institutional data accessed in Turkey Ankara shall be treated as strictly confidential and shall not be disclosed to any third party without written authorization.
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of material breach, termination may be effected with seven (7) days' notice. Upon termination, the supplier shall return all Ministry property, access credentials, and documents within five (5) business days.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Turkey Ankara region, provided that written notice is given within forty-eight (48) hours of the event.
- Anti-Corruption and Compliance: The supplier warrants that no part of the consideration under this Purchase Order shall be used for any purpose that violates Turkish anti-corruption legislation. The supplier shall cooperate fully with any audit conducted by the Court of Accounts (Sayıştay) or the Ministry's internal audit division.
