- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Istanbul, Turkey.
- Delivery / Commencement: The Education Administrator shall commence duties no later than 1 September 2025, coinciding with the start of the academic year in the Turkey Istanbul education system. The supplier shall ensure all onboarding procedures are completed by 25 August 2025.
- Payment Terms: Payment shall be made in three (3) equal installments via bank transfer to the supplier's designated account in Turkey. The first installment (33.33%) is due upon execution of this Purchase Order. The second installment (33.33%) is due upon successful onboarding and commencement of the Education Administrator's duties. The final installment (33.34%) is due upon completion of the first full quarter of service and submission of the initial performance report.
- Compliance: The supplier warrants that the Education Administrator shall meet all qualifications mandated by the Ministry of National Education and shall comply with all applicable regulations of the Turkey Istanbul education authority, including data protection requirements under the Personal Data Protection Law (KVKK – Law No. 6698).
- Confidentiality: All information pertaining to student records, institutional strategies, and internal communications accessed by the Education Administrator shall remain strictly confidential. The supplier shall execute a non-disclosure agreement prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall facilitate a smooth transition plan for the Education Administrator role to ensure continuity of operations within the Istanbul education network.
- Warranty and Replacement: In the event that the appointed Education Administrator fails to meet the performance benchmarks outlined in Item 05 within the first ninety (90) days, the supplier shall, at no additional cost, provide a replacement candidate of equivalent or superior qualifications within fifteen (15) business days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Turkey Istanbul region.
This Purchase Order constitutes a binding procurement instrument upon signature by both parties. The Education Administrator engagement described herein is subject to final approval by the Istanbul Metropolitan Education Directorate's Procurement Committee and the relevant Ministry of National Education oversight body in Ankara.
