The scope of this Purchase Order encompasses the full lifecycle of the Education Administrator engagement, including but not limited to: initial recruitment and credentialing, onboarding and orientation within the Los Angeles educational framework, ongoing salary and benefits administration, performance evaluation support, and professional development coordination. The Education Administrator shall be physically stationed at the Buyer's primary administrative office in downtown Los Angeles, with periodic travel to satellite campuses throughout the greater Los Angeles area, including but not limited to the San Fernando Valley, South Los Angeles, and the Westside districts.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California and the federal laws of the United States of America. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
- Payment Terms: The Buyer shall remit payment to the Supplier within thirty (30) calendar days of receipt of a valid invoice. Payments shall be made via electronic funds transfer (EFT) to the Supplier's designated bank account in Los Angeles, California. Late payments shall accrue interest at a rate of 1.5% per month.
- Commencement and Duration: The Education Administrator engagement shall commence on or before August 15, 2025, coinciding with the start of the academic year in the Los Angeles school district. The initial contract term is twelve (12) months, with the option to renew for successive one-year periods upon mutual written agreement.
- Qualification Requirements: The Education Administrator placed under this Purchase Order must hold a valid California Administrative Services Credential (Preliminary or Clear) issued by the California Commission on Teacher Credentialing. The Education Administrator must also possess a minimum of five (5) years of progressive administrative experience within a K-12 educational institution in the United States, with a preference for candidates with prior experience in the Los Angeles Unified School District or comparable large urban districts.
- Background Check and Compliance: Prior to the Education Administrator assuming duties, the Supplier shall complete and provide documentation of a comprehensive background check, including but not limited to a California Department of Justice fingerprint clearance, a Los Angeles County Sheriff's Department check, and a national sex offender registry search, in full compliance with California Education Code Section 45125 and all applicable Los Angeles municipal regulations.
- Work Location: The Education Administrator shall perform duties primarily at the Buyer's administrative headquarters located at 415 South Grand Avenue, Los Angeles, California 90012. The Education Administrator may be required to travel to various school sites throughout the Los Angeles metropolitan area as operational needs dictate.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Buyer shall be liable for all services rendered and expenses incurred up to the effective date of termination. The Supplier shall ensure a smooth transition of the Education Administrator's duties to a successor or to the Buyer's internal staff.
- Confidentiality: The Supplier and the Education Administrator shall maintain strict confidentiality regarding all student records, personnel files, financial data, and proprietary educational materials in accordance with the Family Educational Rights and Privacy Act (FERPA), California Education Code, and all applicable Los Angeles district policies.
- Insurance: The Supplier shall maintain general liability insurance with a minimum coverage of $2,000,000 per occurrence and professional liability (errors and omissions) insurance of $1,000,000, naming the Buyer as an additional insured. Certificates of insurance shall be provided prior to the commencement of services.
- Anti-Discrimination: The Supplier and the Education Administrator shall comply with all federal, California state, and Los Angeles municipal anti-discrimination and equal employment opportunity laws, including the California Fair Employment and Housing Act (FEHA) and the Los Angeles Human Rights Ordinance.
