- This Purchase Order constitutes a binding agreement between Andes Infrastructure Solutions S.A. (hereinafter "the Buyer") and Ing. Marcos R. Delgado, a licensed Electrical Engineer registered with the Buenos Aires professional registry (hereinafter "the Vendor"), for the provision of professional electrical engineering services in Argentina Buenos Aires.
- The Vendor shall perform all services in strict compliance with the Argentine National Electrical Code (IRAM 1000), the Buenos Aires City Building Code, and all applicable regulations issued by the GCBA (Gobierno de la Ciudad de Buenos Aires) and the national electrical regulatory authority (ENRE).
- The Electrical Engineer shall maintain valid professional liability insurance with a minimum coverage of ARS 50,000,000 throughout the duration of this Purchase Order. Proof of insurance shall be provided prior to commencement of work.
- All deliverables, including design documents, reports, and certifications, shall be submitted in both digital (PDF and CAD formats) and physical (three hard copies) form to the Buyer's project office located in Buenos Aires, Argentina.
- Payment shall be made via bank transfer to the Vendor's account in Argentine Pesos (ARS) within thirty (30) calendar days of receipt of a valid invoice. The Vendor shall issue a fiscal invoice (Factura A) in accordance with Argentine tax regulations (AFIP/ARCA).
- The Vendor shall not subcontract any portion of the services described in this Purchase Order without prior written consent from the Buyer. Any approved subcontracting shall not relieve the Electrical Engineer of full responsibility for the quality and timeliness of the work.
- Changes to the scope of work must be documented through a formal Change Order signed by both parties. No additional compensation shall be due for work not explicitly authorized in writing under this Purchase Order.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Buenos Aires, Argentina, in accordance with the applicable provisions of the Argentine Civil and Commercial Code. If mediation fails, the matter shall be submitted to the competent courts of the City of Buenos Aires.
- This Purchase Order is governed by the laws of the Argentine Republic. All notices and communications shall be sent to the addresses listed above in Buenos Aires, Argentina.
- The Vendor warrants that all engineering services shall be performed with the skill, care, and diligence expected of a qualified Electrical Engineer in good standing with the professional registry of Buenos Aires, and shall conform to the standards of the profession as recognized in Argentina.
