- Governing Law: This Purchase Order and all associated services shall be governed by the Civil and Commercial Code of the Argentine Nation and the applicable provincial regulations of the Province of Córdoba. Any disputes arising from this Purchase Order shall be resolved in the competent courts of the city of Córdoba, Argentina.
- Professional Liability: The Electrical Engineer shall carry professional liability insurance (Seguro de Responsabilidad Civil Profesional) with a minimum coverage of ARS 5,000,000, valid throughout the duration of the contract and the 12-month warranty period. Proof of insurance shall be provided prior to commencement of work.
- Payment Schedule: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 50% upon completion of on-site supervision (Item 02), and 20% upon delivery and acceptance of the final technical dossier (Item 03). All payments shall be made via bank transfer to the account designated by the Electrical Engineer.

- Termination: Either party may terminate this Purchase Order with 15 days’ written notice. In the event of termination, the Electrical Engineer shall be compensated for all services rendered up to the date of termination, less any applicable penalties for incomplete deliverables.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or labor strikes affecting the Córdoba region.
- Intellectual Property: All designs, schematics, and technical documents produced under this Purchase Order shall become the exclusive property of Córdoba Industrial Infrastructure S.A. upon full payment. The Electrical Engineer retains the right to reference the project in professional portfolios with prior written consent.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of the Electrical Engineer’s professional services as described herein. This document is valid for execution within the jurisdiction of Córdoba, Argentina, and all communications related to this Purchase Order shall be directed to the addresses specified above.
