TERMS AND CONDITIONS OF THIS PURCHASE ORDER
- This Purchase Order constitutes a binding agreement between Melbourne Infrastructure Solutions Pty Ltd (Buyer) and VoltEdge Engineering Consultants Pty Ltd (Supplier) for the provision of Electrical Engineer professional services as described herein.
- All Electrical Engineer services shall be performed in strict accordance with the National Construction Code (NCC) 2022, AS/NZS 3000:2018, AS/NZS 3008:2017, and all applicable regulations of the Victorian Building Authority and the Australian Energy Regulator as they pertain to work conducted in Australia Melbourne.
- The Supplier warrants that the Principal Electrical Engineer and all supporting Electrical Engineer staff engaged under this Purchase Order hold current registration with Engineers Australia and maintain professional indemnity insurance of no less than AUD $10,000,000 per occurrence.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Competition and Consumer Act 2010 (Cth).
- The Supplier shall provide a detailed project schedule within five (5) business days of acceptance of this Purchase Order, outlining milestones, deliverables, and the availability of the Electrical Engineer team on site in Australia Melbourne.
- All intellectual property, design documents, calculations, and certifications produced by the Electrical Engineer under this Purchase Order shall become the sole property of the Buyer upon full payment.
- The Supplier shall comply with all occupational health and safety obligations under the Occupational Health and Safety Act 2004 (Vic) and shall maintain a valid Safe Work Method Statement (SWMS) for all on-site activities in Australia Melbourne.
- This Purchase Order is governed by the laws of the State of Victoria, Australia. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Australia Melbourne.
- Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all Electrical Engineer services satisfactorily completed up to the date of termination.
- This Purchase Order may not be assigned or subcontracted without the prior written consent of the Buyer. Any proposed subcontracting of Electrical Engineer tasks must be disclosed in writing at least ten (10) business days before the relevant work commences.
