- Compliance: All equipment and services procured under this Purchase Order shall comply with the Bangladesh National Standards (BDS), Bangladesh Electricity Board (BEEB) regulations, and the Bangladesh Electrical and Electronics Engineers' Institute (BEEI) professional code of conduct. The assigned Electrical Engineer must hold a valid BEE registration and a minimum of ten (10) years of experience in high-voltage substation engineering in Bangladesh Dhaka.
- Delivery and Installation: All physical equipment shall be delivered to the project site at Motijheel, Dhaka, Bangladesh Dhaka, within sixty (60) calendar days from the date of this Purchase Order. The Electrical Engineer shall be present on-site during all critical installation and commissioning phases.
- Payment Schedule: 30% advance payment upon signing of this Purchase Order; 40% upon delivery and inspection of all equipment at the Bangladesh Dhaka project site; 20% upon successful commissioning and load testing; 10% upon submission of the final as-built documentation by the Electrical Engineer and acceptance by the Buyer.
- Warranty: All electrical equipment shall carry a minimum two-year manufacturer's warranty from the date of commissioning. The Electrical Engineer's professional services carry a twelve-month defect liability period.
- Quality Assurance: The Electrical Engineer shall conduct a minimum of three (3) site inspections per month and submit written progress reports to the Buyer's project management office in Dhaka. All protection relay settings and SCADA configurations must be validated against IEC 61850 and IEEE C37 standards.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government policy changes in Bangladesh, or other events beyond reasonable control, provided written notice is given within seven (7) days of the event.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act of Bangladesh, 2001. The language of arbitration shall be English.
- Confidentiality: All technical drawings, load calculations, and system designs prepared by the Electrical Engineer under this Purchase Order shall remain the exclusive property of the Buyer and shall not be disclosed to third parties without written consent.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Electrical Engineer and procurement of associated electrical infrastructure in Bangladesh Dhaka.
