2.1 Scope and Compliance: The Electrical Engineer engaged under this Purchase Order shall perform all services in full compliance with the Brazilian Federal Law No. 5,194/1966 governing the practice of engineering, the CREA-DF professional registration requirements, and all municipal bylaws applicable to electrical installations in Brazil Brasília. The Electrical Engineer shall maintain valid professional registration throughout the duration of this engagement.

2.2 Payment Terms: Payment for services rendered under this Purchase Order shall be made in Brazilian Reais (BRL) via bank transfer (TED/DOC) to the account designated by the Electrical Engineer. Invoices shall be submitted monthly, and payment shall be processed within thirty (30) calendar days from the date of invoice receipt, in accordance with Brazilian commercial law (Código Civil, Articles 1.215–1.220). A late payment penalty of 1% per month plus SELIC interest shall apply as per Brazilian regulatory standards.

2.3 Delivery and Execution Location: All on-site services, inspections, and supervisory activities shall be conducted at the project premises located at Eixo Monumental, Brazil Brasília, Federal District. The Electrical Engineer shall bear all travel and transportation costs within the Brasília metropolitan area. Deliverables in digital and physical format shall be submitted to the Purchasing Entity's office at Setor Comercial Sul, Brasília – DF.

2.4 Intellectual Property and Documentation: All technical drawings, calculations, reports, and design documents produced by the Electrical Engineer under this Purchase Order shall become the exclusive property of Construtora Federal do Planalto S.A. upon full payment. The Electrical Engineer shall provide all source files in CAD (AutoCAD .dwg) and PDF formats.

2.5 Liability and Insurance: The Electrical Engineer shall maintain professional liability insurance (Seguro de Responsabilidade Civil Profissional) with a minimum coverage of R$ 500,000.00, valid throughout the project duration in Brazil Brasília. The Electrical Engineer shall be solely responsible for any technical errors, omissions, or non-compliance with Brazilian electrical standards arising from the services performed under this Purchase Order.

2.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Electrical Engineer shall be compensated for all services satisfactorily completed up to the termination date. Termination shall not affect any obligations already accrued under Brazilian contract law.

2.7 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the courts of Brazil Brasília, Federal District, with waiver of any other jurisdiction, however privileged it may be.

2.8 Confidentiality: The Electrical Engineer shall treat all project information, architectural plans, and operational data received in connection with this Purchase Order as strictly confidential and shall not disclose such information to any third party without prior written consent from the Purchasing Entity, in accordance with Brazilian Law No. 12,730/2012 (Industrial Property Law) and applicable data protection regulations (LGPD – Lei Geral de Proteção de Dados).
