- Scope of Work: This Purchase Order authorizes Voltex Engineering & Consulting Group to provide the services of a qualified Electrical Engineer and associated engineering deliverables as described in the line items above. All work shall be performed in Canada Montreal, Quebec, and shall comply with all applicable federal, provincial, and municipal regulations governing electrical engineering practice in Canada Montreal.
- Licensing & Qualifications: The Electrical Engineer assigned to this Purchase Order must hold an active Professional Engineer (P.Eng.) license issued by the Ordre des ingénieurs du Québec (OIQ) and must demonstrate a minimum of ten (10) years of experience in commercial and industrial electrical systems. Proof of licensing and professional liability insurance (minimum $5,000,000 CAD) must be submitted prior to commencement of work.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the account designated by the vendor. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under the Quebec Prompt Payment Act.
- Change Orders: Any modification to the scope of work outlined in this Purchase Order must be documented in a written Change Order signed by both parties. No additional work by the Electrical Engineer shall be compensated unless authorized in writing under this Purchase Order.
- Confidentiality: All project documentation, design files, and proprietary information related to this Purchase Order shall be treated as confidential. The Electrical Engineer and all subcontractors shall sign a Non-Disclosure Agreement (NDA) prior to accessing any project data. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all services rendered and materials procured up to the date of termination, as documented in this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Quebec and the laws of the Province of Quebec, Canada. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Montreal in accordance with the rules of the ADR Institute of Canada.
- Health & Safety: The Electrical Engineer and all personnel working under this Purchase Order shall comply with the Occupational Health and Safety Act (OHSA) of Quebec and all site-specific safety protocols established by Meridian Infrastructure Solutions Inc. at the Canada Montreal project location.
- Warranty: All engineering deliverables provided under this Purchase Order carry a warranty of professional accuracy for a period of two (2) years from the date of final acceptance. The Electrical Engineer shall correct any errors or omissions identified within the warranty period at no additional cost.
This Purchase Order is valid upon signature by both parties. By signing below, the parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of an Electrical Engineer in Canada Montreal.
