1. Scope of Purchase OrderThis Purchase Order is issued by Andes Infrastructure Solutions SpA to formally engage the professional services of a qualified Electrical Engineer for the design, supervision, and technical oversight of electrical infrastructure systems for a commercial development project located in Chile Santiago. This document constitutes a binding agreement between the Purchasing Entity and the Service Provider for the specific scope of work described herein, in full compliance with the regulations established by the Superintendencia de Electricidad y Telecomunicaciones (SEC) of Chile and the local building codes of the Metropolitan Region of Chile Santiago.

The Electrical Engineer engaged under this Purchase Order must meet the following mandatory qualifications:
(a) Hold a valid professional title in Electrical Engineering (Ingeniero Civil Electricista) issued by a university accredited by the Consejo de Rectores de las Universidades Chilenas (CRUCH).
(b) Possess a current professional registration (Matrícula Profesional) with the Colegio de Ingenieros de Chile, valid for the Metropolitan Region of Chile Santiago.
(c) Demonstrate a minimum of ten (10) years of professional experience in commercial and industrial electrical systems design and supervision within Chile.
(d) Hold a valid SEC professional certification for electrical installations of medium voltage (above 1,000 V) as required for projects in Chile Santiago.
(e) Maintain professional liability insurance (Seguro de Responsabilidad Civil Profesional) with a minimum coverage of CLP 200,000,000 for the duration of the engagement.
4. Terms and Conditions4.1 This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Chile Santiago, Metropolitan Region.
4.2 The Electrical Engineer shall comply with all applicable Chilean regulations, including but not limited to NCh Elec 4/1, NCh Elec 4/2, the Reglamento de Instalaciones Eléctricas, and all municipal ordinances of the Ilustre Municipalidad de Santiago.
4.3 All deliverables produced by the Electrical Engineer under this Purchase Order shall be the exclusive intellectual property of the Purchasing Entity upon full payment. The Electrical Engineer grants a perpetual, irrevocable license for the use, reproduction, and modification of all technical drawings, calculations, and reports.
4.4 The Service Provider shall issue a formal invoice (Factura) in accordance with the requirements of the Servicio de Impuestos Nacionales (SII) of Chile. Payment shall be made via electronic transfer (Transferencia Electrónica) to the bank account specified on the invoice.
4.5 The Electrical Engineer shall maintain strict confidentiality regarding all project information, site plans, and proprietary data of the Purchasing Entity. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4.6 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Purchasing Entity shall compensate the Electrical Engineer for all work completed and documented up to the date of termination, at the rates specified in Section 2 of this document.
4.7 The Electrical Engineer shall be responsible for all occupational health and safety (SST) compliance on the project site in Chile Santiago, in accordance with Ley 16.744 and the regulations of the Superintendencia de Seguridad Social (SUSESO).
4.8 Any modifications to the scope of work described in this Purchase Order must be agreed upon in writing by both parties through a formal amendment (Adenda) to this document. No verbal agreements shall be binding.
5. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Electrical Engineer for the project located in Chile Santiago. This document is executed in two (2) original copies, one for each party, and carries equal legal force under Chilean law.
