This Purchase Order is issued by Guangzhou Metro Development Corporation Ltd. The Electrical Engineer shall be physically stationed at the project site located in China Guangzhou for the entire duration of the engagement as specified in this Purchase Order.

The Electrical Engineer engaged under this Purchase Order shall hold a valid PRC Registered Electrical Engineer (Registered Electrical Engineer) license issued by the Ministry of Housing and Urban-Rural Development of the People's Republic of China, with a minimum of ten (10) years of documented experience in high-voltage power distribution systems, substation design, and metro rail electrical infrastructure. The Electrical Engineer must be proficient in both Mandarin Chinese and English to facilitate all technical documentation, site inspections, and regulatory submissions within China Guangzhou.

Payment under this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the Service Provider's designated account. The payment schedule is as follows:

1. Advance Payment (20%): ¥ 284,760.00 – payable within fifteen (15) business days of mutual execution of this Purchase Order and receipt of a valid VAT invoice (fapiao) from the Service Provider.
2. Progress Payment (40%): ¥ 569,520.00 – payable upon completion and Buyer's written acceptance of Deliverables 1 and 2 as outlined in Section 3 of this Purchase Order.
3. Completion Payment (30%): ¥ 427,140.00 – payable upon successful commissioning, regulatory approval, and handover of all as-built documentation for the Electrical Engineer's scope of work in China Guangzhou.
4. Warranty Retention (10%): ¥ 142,380.00 – payable twelve (12) months after the completion date, subject to satisfactory performance of the warranty support obligations.

1. This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and all applicable electrical engineering regulations in force in China Guangzhou.
2. The Electrical Engineer shall maintain valid professional liability insurance with a minimum coverage of ¥ 5,000,000.00 for the entire duration of the engagement. A certificate of insurance shall be provided to the Buyer prior to commencing any on-site work in China Guangzhou.
3. All work performed under this Purchase Order shall comply with the National Electrical Engineering Standards of China (GB series), the Guangdong Provincial Electrical Safety Regulations, and the Guangzhou Municipal Construction Quality Supervision requirements.
4. The Service Provider shall not subcontract any portion of the Electrical Engineer services without prior written consent from the Buyer. Any approved subcontracting shall not relieve the Service Provider of its obligations under this Purchase Order.
5. Confidentiality: All technical drawings, load data, and project information pertaining to the Guangzhou Metro Line 18 Extension shall be treated as strictly confidential. The Electrical Engineer shall not disclose any project-specific information to third parties without the Buyer's written authorization.
6. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be resolved through amicable negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to the Guangzhou Arbitration Commission for arbitration in China Guangzhou. The arbitration award shall be final and binding.
7. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in China Guangzhou, or epidemics, provided that the affected party notifies the other in writing within five (5) business days.
8. This Purchase Order becomes effective upon signature by both parties and remains valid until full completion of all deliverables and expiration of the warranty period.
