The Vendor shall assign a senior Electrical Engineer holding a valid registration with the Ingenieurkammer Berlin and possessing a minimum of twelve (12) years of professional experience in power distribution systems. The assigned Electrical Engineer shall be physically present at the project site in Germany Berlin (specifically the Kreuzberg and Neukölln districts) for the duration of the on-site phase and shall report directly to the Purchaser's Project Director.

Payment shall be made by bank transfer to the IBAN specified in Section 2 within thirty (30) calendar days of receipt of a valid invoice from the Vendor. Invoices must reference this Purchase Order number (PO-2025-BER-00482) and the applicable line-item numbers. The Purchaser reserves the right to withhold payment for any deliverable that does not meet the technical specifications outlined in Annex A of the master service agreement. The Vendor shall commence the conceptual design phase no later than 1 July 2025. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany. The Vendor warrants that the assigned Electrical Engineer holds all necessary professional qualifications, professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of 2,000,000 EUR, and is in good standing with the Ingenieurkammer Berlin. The Vendor shall comply with all data protection requirements under the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (Bundesdatenschutzgesetz – BDSG) when handling any personal data encountered during the project in Germany Berlin.

By accepting this Purchase Order, the Vendor acknowledges that all intellectual property created specifically for the Purchaser in the course of this engagement shall vest in TechnoVolt Engineering GmbH upon full payment. The Vendor shall not subcontract any portion of the Electrical Engineer services without prior written consent from the Purchaser.

This Purchase Order (PO-2025-BER-00482) constitutes a binding procurement document for the engagement of an Electrical Engineer for infrastructure services in Germany Berlin.
