Terms and Conditions of this Purchase Order

1. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Hesse, Germany.
2. Scope of Electrical Engineer Services: The Supplier shall provide all Electrical Engineer services as described in the line items above. All engineering work shall comply with applicable German national standards (DIN, VDE), European Union directives (including the Low Voltage Directive 2014/35/EU and the Electromagnetic Compatibility Directive 2014/30/EU), and the specific regulatory requirements of the state of Hesse and the city of Frankfurt am Main.
3. Qualification Requirements: The Electrical Engineer or team of Electrical Engineers assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Electrical Engineering (Dipl.-Ing. or B.Eng.) and possess valid professional registration with the Ingenieurkammer Hessen. All personnel working on-site in Germany Frankfurt must carry valid identification and comply with the buyer's site safety protocols.
4. Delivery and Performance Schedule: All deliverables under this Purchase Order shall be completed in accordance with the project timeline agreed upon in the attached Statement of Work. The primary project location is the Rhein-Main Logistics Hub, Frankfurt Airport (FRA), and the secondary location is the industrial zone at Zeil am Main, Frankfurt am Main. Any delay exceeding five (5) business days shall entitle the buyer to a penalty of 0.5% of the affected line-item value per day of delay, capped at 10%.
5. Payment: Payment shall be made via SEPA bank transfer to the Supplier's designated account in Germany Frankfurt within thirty (30) calendar days of receipt of a valid invoice. The invoice must reference this Purchase Order number (PO-FRA-2025-00487) and include the Supplier's USt-IdNr. Late payment shall incur statutory interest at the rate prescribed under § 288 of the German Civil Code (BGB).
6. Warranty and Liability: The Supplier warrants that all Electrical Engineer designs, calculations, and documentation delivered under this Purchase Order shall be free from material defects for a period of twenty-four (24) months from the date of acceptance. The Supplier's total liability under this Purchase Order shall not exceed the total contract value of € 107,873.50.
7. Confidentiality and Data Protection: Both parties shall comply with the General Data Protection Regulation (GDPR, EU 2016/679) and the German Federal Data Protection Act (BDSG) in the processing of any personal data exchanged in connection with this Purchase Order. Technical drawings, schematics, and proprietary information remain the exclusive property of the buyer.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, war, or government-mandated shutdowns affecting the Frankfurt am Main metropolitan area.
9. Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the scope of Electrical Engineer services are not binding.
