- Acceptance: This Purchase Order constitutes a binding offer for the procurement of Electrical Engineer professional services. Acceptance by the Seller shall be confirmed in writing within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order void.
- Performance Location: All services described herein shall be performed at the Buyer’s premises located in Germany Munich, specifically at the industrial site on Leopoldstraße, 80802 Munich, Bavaria, Germany. The Electrical Engineer shall comply with all site safety protocols and German occupational health and safety regulations (Arbeitsschutzgesetz).
- Timeline: The Electrical Engineer shall commence work no later than 1 July 2025 and shall complete all deliverables by 30 September 2025. Any delays attributable to the Seller shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
- Payment: Payment shall be made via SEPA bank transfer to the account designated by the Seller within thirty (30) calendar days of receipt of a valid invoice. - Confidentiality: The Electrical Engineer shall treat all technical data, proprietary designs, and operational information of the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Warranty: The Seller provides a warranty of twelve (12) months on all design work and engineering deliverables. Any defects in the electrical design identified within this warranty period shall be rectified at no additional cost to the Buyer.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved under the exclusive jurisdiction of the competent courts in Germany Munich. The parties agree to attempt mediation before initiating formal legal proceedings, in accordance with German civil procedure law (ZPO).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Germany Munich, or pandemics, as defined under Section 275 of the German Civil Code (BGB).
