Description of Services ProcuredThis Purchase Order is issued by Accra Infrastructure & Power Solutions Ltd. (hereinafter referred to as "the Purchaser") to engage the services of a qualified Electrical Engineer for the design, supervision, and commissioning of electrical infrastructure works at the Purchaser's commercial development site located at 8 Airport City Road, Ghana Accra. The Electrical Engineer shall be responsible for all aspects of the electrical scope of work as detailed in the schedule below. All services shall be rendered in full compliance with the Ghana Standards Authority (GSA) regulations, the Energy Commission of Ghana guidelines, and the local building codes applicable in the Greater Accra Region.

- Scope of Work: The Electrical Engineer shall perform all duties in accordance with the scope defined in this Purchase Order and the attached technical specifications. Any work outside the defined scope shall require a written variation order signed by both parties.
- Commencement Date: The Electrical Engineer shall commence site work no later than 23 June 2025 at the project site in Ghana Accra. Delays attributable to the Engineer shall be subject to liquidated damages of GHS 500 per calendar day.
- Payment Terms: Payment shall be made in monthly progress instalments based on certified work completed. The Purchaser shall process payment within fourteen (14) working days of receipt of a valid invoice. A retention of ten percent (10%) shall be held until final commissioning and handover.
- Professional Compliance: The Electrical Engineer warrants that he holds a valid professional licence issued by the Ghana Engineering Council and that all designs shall comply with the Ghana Standards Authority (GSA) codes, the Energy Commission of Ghana regulations, and the requirements of the Ghana Accra Municipal Assembly.
- Insurance: The Electrical Engineer shall maintain professional indemnity insurance of not less than GHS 500,000 and public liability insurance of not less than GHS 1,000,000 for the duration of the contract, with the Purchaser named as an additional insured party.
- Confidentiality: All project documents, drawings, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent of the Purchaser.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising hereunder shall be resolved through arbitration in Ghana Accra in accordance with the Arbitration Act, 1998 (Act 562).
- Termination: Either party may terminate this Purchase Order by giving thirty (30) days' written notice. In the event of termination for convenience, the Electrical Engineer shall be compensated for all work satisfactorily completed up to the date of termination.
- Health, Safety & Environment: The Electrical Engineer shall ensure full compliance with the Occupational Safety and Health Act, 2003 (Act 654) of Ghana and shall maintain a safe working environment at all times on the Ghana Accra project site.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Electrical Engineer for the electrical works at the specified site in Ghana Accra.
