The Electrical Engineer shall be responsible for all technical deliverables as outlined in the schedule below. All work shall be performed in compliance with the Indian Electricity Act, 2003, the Maharashtra Electricity Regulatory Commission (MERC) guidelines, and the Indian Standards (IS) codes applicable to high-voltage electrical installations in India Mumbai.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Electrical Engineer upon written acceptance. All terms herein shall be governed by the laws of India, with jurisdiction vested in the courts of India Mumbai, Maharashtra.
2. The Electrical Engineer shall maintain valid professional indemnity insurance with a minimum coverage of INR 50,00,000 for the duration of the engagement in India Mumbai.
3. Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Electrical Engineer, subject to satisfactory completion of each milestone as defined in Section 4 of this Purchase Order.
4. All deliverables, including drawings, reports, and design documents, shall be submitted in both hard copy (three sets) and digital format (PDF and editable CAD files) to the Buyer’s office at Nariman Point, India Mumbai.
5. The Electrical Engineer shall comply with all applicable safety regulations under the Indian Factories Act, 1948, and the Electrical Safety Rules applicable in the state of Maharashtra, India Mumbai.
6. Any variation or change in scope must be documented through a formal Change Order signed by both parties before additional work commences. No verbal modifications to this Purchase Order shall be valid.
7. The Electrical Engineer warrants that all designs and recommendations shall be free from intellectual property infringement and shall conform to the latest editions of Indian Standards published by the Bureau of Indian Standards (BIS).
8. In the event of default or non-performance, the Buyer reserves the right to terminate this Purchase Order with a written notice of fourteen (14) days, and the Electrical Engineer shall be liable for any consequential losses incurred by the Buyer.
9. All disputes arising out of or in connection with this Purchase Order shall be resolved through arbitration in India Mumbai in accordance with the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually appointed by both parties.
10. This Purchase Order is valid for a period of ninety (90) days from the date of issue. If not accepted within this period, it shall lapse automatically and a new Purchase Order shall need to be issued.
